Article 1 The name of this Association is Shenzhen Taiwanese Business Association (Shenzhen Taiwan Province Compatriots Investment Enterprise Association). English name: Shenzhen Taiwan Business Association.
Article 2 This Association is a local non-profit organization voluntarily formed by enterprises invested by Taiwan Province compatriots in Shenzhen.
Article 3 The purpose of the Association is to abide by the Constitution, regulations and policies of People's Republic of China (PRC), abide by social ethics, unite and contact Taiwanese businessmen, Taiwan Province Province and overseas compatriots who have invested in Shenzhen, enhance mutual exchanges, understanding and cooperation, strengthen exchanges with the Shenzhen Municipal Government and various departments, promote enterprise development and Shenzhen's economic prosperity, promote cross-strait economic and trade exchanges and cooperation, serve members and safeguard their legitimate rights and interests.
Article 4 The Taiwan Province Affairs Office of Shenzhen Municipal People's Government is the competent business unit of this Association, and this Association accepts the business guidance, supervision and management of the competent department of Taiwan Province Affairs of Shenzhen and the registration administration organ of Shenzhen Civil Affairs Bureau.
Article 5 The domicile of the Association is Room EF, 8th Floor, East Block, Wenhua Building, Shennan East Road, Shenzhen, Guangdong Province.
Chapter II Scope of Business
Article 6 The business scope of this Association is:
(a) to carry out contact and exchange activities among members, close economic cooperation among members, and hold trade fairs and seminars. , to carry out industry cooperation and exchanges;
(2) Strengthen contact with various departments of Shenzhen Municipal Government, actively organize seminars and lectures between members and relevant departments, help members to further understand relevant policies in the Mainland, disseminate economic and legal information to members through various means, and provide legal and commercial advice and services to members.
(three) to assist members to carry out their work, life and business processes, and to reflect members' opinions, suggestions and requirements to relevant departments in a timely manner.
(four) according to the laws and regulations of People's Republic of China (PRC), actively safeguard the legitimate rights and interests of members, and be responsible for reflecting and appealing to the relevant government departments when the rights and interests of members are infringed.
(five) to participate in various social activities on behalf of Taiwan-funded enterprises, organize social welfare activities, and organize members to study, visit and travel.
(6) Periodically publish publications, systematically and timely introduce the investment environment in Shenzhen and relevant national laws and regulations, inform Taiwan Province Province of the relevant policy trends and industry trends of Taiwanese investment in the mainland, promote economic exchanges and cooperation between Shenzhen and Taiwan Province Province, feed back the opinions and suggestions of members, and convey the meetings and financial situation of the Association.
(seven) to educate and guide members and the vast number of Taiwan Province compatriots, and consciously abide by the laws and regulations stipulated by the state, provinces and cities to prevent the occurrence of violations of law and discipline.
Chapter III Members
Article 7 Members of this Association are divided into group members and individual members. Group members are Taiwan-funded enterprises registered in Shenzhen and joined in the name of enterprises. Individual members are Taiwanese businessmen who entrust others to invest in Shenzhen, Taiwan Province compatriots who work in Shenzhen or Taiwan Province compatriots who are entrusted to represent Taiwan-funded enterprises in Shenzhen.
Article 8 A member applying to join this Association must meet the following requirements:
(1) Supporting the articles of association;
(2) Having the will to join this Association;
(3) Taiwan-funded enterprises as legal persons, Taiwanese businessmen who entrust others to invest in Shenzhen, Taiwan compatriots who are entrusted as representatives of Taiwan-funded enterprises in Shenzhen, and Taiwan compatriots who work in Shenzhen.
Article 9 Membership procedures:
(1) Submit an application form for membership;
(2) The applicant shall pay the membership fee and activity funds to the Association after being approved by the Association;
(3) The president or the president authorizes the issuance of membership cards.
Article 10 Group members and individual members of this Association shall equally enjoy the following rights:
The right to vote and stand for election;
(two) to reflect opinions and demands to the association and its leaders, and to make criticisms and suggestions;
(three) to participate in the activities of the association and enjoy the services and benefits of the association.
Article 11 Group members and individual members of the Association shall equally perform the following obligations:
(1) Abide by the Articles of Association and other relevant regulations;
(2) Implementing the resolutions of the Association;
(3) Pay the membership fees and activity fees in full and on time.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the Association within 1 year, it will be deemed as automatic withdrawal.
Article 13 If a member seriously violates the Articles of Association, he/she shall be removed from the membership after being voted by the Standing Council.
Chapter IV Establishment and Dismissal of Institutions and Their Personnel
Article 14 The highest authority of this Association is the general meeting of members, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Measures for the election and recall of directors, alternate directors, supervisors and alternate supervisors shall be formulated separately;
(three) to consider the work report and financial report of the Council;
(four) to consider the work report of the board of supervisors;
(five) to decide the work direction and tasks of the association;
(six) to decide on other major issues.
Article 15 The general meeting of members shall be held at least once a year. The quorum for convening a general meeting of shareholders is generally more than two thirds of the members present (including those entrusted to attend), and the resolution of the general meeting of shareholders must be passed by more than half of the members present (including those entrusted to attend).
When necessary, the general meeting of members may adopt the representative system (the method for selecting representatives shall be stipulated separately), and the general meeting of members shall exercise its functions and powers. In general, a general meeting of members requires a quorum of two-thirds of the total number of delegates, and all resolutions must be passed by more than two-thirds of the delegates present at the meeting.
Article 16 When a member entrusts an agent (who must be a member) to attend the general meeting of the members, the agent shall submit a power of attorney to the secretariat of the association and exercise the rights of the members within the scope of authorization.
Article 17 With the joint signature of more than two thirds (including two thirds) of the directors, the president may be requested to convene an interim general meeting or a general meeting. Ten days before the meeting, the secretary of the association shall inform all members or member representatives of the time and place of the meeting and the matters to be considered.
Eighteenth members of the general assembly or general election, due to special circumstances need to be advanced or postponed, must be voted by the Council, reported to the competent business unit for review and approved by the community registration authority. However, the term of office shall not be extended for more than one year.
Article 19 The Council is the executive body of the general assembly or the general assembly. When the general assembly or representative assembly is not in session, lead the association to carry out its daily work and be responsible for the general assembly or representative assembly.
Article 20 The functions and powers of the Council are:
(1) To be responsible for convening the general meeting or representative meeting of members and reporting to the general meeting or representative meeting;
(two) to implement the resolutions of the general assembly or the general assembly;
(three) to organize the implementation of the work plan and activity plan of the association;
(4) To decide on the appointment of honorary posts and honorary posts of the Association;
(5) Electing and dismissing executive directors;
(six) to consider and pass the detailed rules for the implementation of the association management system.
Article 21 The board of directors shall hold a meeting at least once every four months, and all directors shall be notified of each meeting five days before the meeting.
Article 22 The meeting of the board of directors shall be attended by the directors themselves, and the quorum present at the meeting shall be more than two thirds of all directors. Resolutions made by the board of directors must be passed by more than two thirds of the directors present.
Article 23 The Executive Council of this Association is composed of executive directors democratically elected by the directors, and the number must be odd.
Article 24 The Standing Council shall be responsible to the Council and exercise the following functions and powers:
(1) Electing and appointing the president and vice-president of the Association;
(2) Deciding on the daily work of the secretariat of the Association, deliberating on the establishment scheme of the internal management organization of the Association and its management system, and organizing the implementation of the resolutions of the Council;
(3) Deliberating and nominating candidates for the president, deputy secretary-general and deputy chief financial officer of the Association;
(4) Other functions and powers granted by the Council.
Article 25 The Standing Council shall hold a meeting at least once every two months, and all the standing directors shall be informed of each meeting five days before the meeting.
Article 26 The executive board shall be attended by the executive directors themselves, and the quorum of the meeting shall be more than two thirds of the executive directors, and the resolutions made must be adopted by more than two thirds of the executive directors present at the meeting.
Article 27 The Association shall have a president and several vice-presidents, including several executive vice-presidents, one secretary-general and several deputy secretaries-general. There is one chief financial officer and several deputy chief financial officers. According to the needs of the work, the association employs relevant personnel from the competent business unit to hold leadership positions. The chairman and vice-chairman are elected by the Standing Council. If the president, vice-president and secretary-general are over the maximum working age, they must be approved by the Council, reported to the competent business unit for examination, and approved by the association registration authority before taking up their posts.
Article 28 The president, vice-president and secretary-general of this Association must meet the following conditions:
(1) Abide by the one-China principle, support national reunification, and be willing to make active efforts to promote cross-strait economic exchanges and cooperation;
(2) Enterprises invested by Taiwanese businessmen have a certain scale and certain economic strength.
(three) good personal quality, and have a certain prestige among local Taiwanese businessmen;
(four) enthusiastic about the work of the association, with strong working ability;
(5) Being healthy and able to stick to normal work;
(six) did not serve as the legal representative in other social organizations;
(7) Having full capacity for civil conduct.
Twenty-ninth in order to facilitate the work of the association, the association may employ the competent government leaders as honorary presidents or consultants; Hire Taiwanese businessmen who are highly respected and enthusiastic about supporting the work of the association as honorary presidents; Give the first president the title of "founding president", hire the last outgoing president as "consulting president" and give other presidents the title of "former president".
Article 30 The President of this Association shall exercise the following functions and powers:
(1) Preside over the general meeting of members, and convene and preside over meetings of the board of directors and executive directors;
(two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;
(3) Nominating candidates for the Secretary-General and Deputy Secretary-General of the Association, and appointing them after deliberation and approval by the Standing Council;
(four) to appoint the person in charge of the subordinate institutions;
(5) Nominating candidates for the chairmanship of functional committees;
(six) to exercise its functions and powers when the Standing Council of the Association is not in session;
(7) Signing relevant important documents on behalf of the Association.
Article 31 The term of office of the directors and executive directors of this Association is two years, and the term of office of the president shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members of the general assembly, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.
Article 32 The president is the legal representative of the Association and represents the Association to the outside world. The president may not concurrently serve as the legal representative of other social organizations.
Article 33 The vice-president shall assist the dean in his work. If the president is unable to perform his duties, the executive vice president or the designated vice president shall take his place.
Article 34 The supervisory body of this Association is the Board of Supervisors, whose members are produced in proportion to the total number of members, including several standing supervisors, who are democratically elected by the supervisors, and one supervisor and several deputy supervisors, including several standing deputy supervisors.
Article 35 The term of office of supervisors and standing supervisors is two years. Upon expiration of the term of office, supervisors and standing supervisors may be re-elected.
Article 36 The board of supervisors shall be responsible to the general meeting of members and exercise the following functions and powers:
(a) Improving the implementation of the work of the Council, the Standing Council and the secretariat of the Association;
(two) to review the financial revenue and expenditure of the association;
(three) to report violations of the articles of association;
(4) Supervisors attend meetings of the board of directors as nonvoting delegates, and standing supervisors attend meetings of the Standing Council as nonvoting delegates.
(5) Electing and dismissing the standing supervisors.
Article 37 The Board of Supervisors shall convene a meeting at least once every four months, and the Standing Board of Supervisors shall convene a meeting at least once every two months, and all participants shall be notified of each meeting five days before the meeting.
Article 38 The meeting of supervisors and the meeting of standing supervisors shall be attended by supervisors and standing supervisors themselves, and the quorum of the meeting shall be more than half of the supervisors and standing supervisors, and the resolutions made must be passed by more than half of the people present at the meeting.
Article 39 When the association changes, the alternate list of the president, vice president, supervisor, deputy supervisor and secretary-general must be approved by the competent business unit of the monthly report one month before the general election meeting.
Article 40 In order to improve the contact work of the Association, the Association has established a Friendship Committee (hereinafter referred to as Friendship Association) with the administrative districts, towns and sub-district offices of Shenzhen as the region. The Association shall have one president and several vice-presidents. The president of the Association shall be elected by the Association from the executive directors or through democratic consultation, and shall be reported to the President of the Association for appointment. The vice president shall be nominated and appointed by the president of the Association from among the members, but at least one of them shall have the qualification of supervisor of the Association.
The responsibilities and tasks of the Association are:
(1) To be responsible for the Association and implement the resolutions of the relevant meetings of the Association.
(2) Organizing general meetings of members;
(3) Inform the meeting information, publicize policies and regulations, and actively solve problems for members;
(four) responsible for collecting membership fees from members, and timely turn them over to the Association according to regulations;
(five) to assist the association to carry out various work, publicize and mobilize enterprises to join the association.
Article 41 The Association shall set up a secretariat and employ staff to undertake daily work according to the needs of work. The employed personnel shall be nominated by the Secretary-General, approved and appointed by the Chairman, and the work shall be organized and implemented by the Secretariat.
Article 42 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the secretariat of the Association and organize the implementation of the annual work plan;
(2) Coordinating the work of the Brotherhood;
(3) handle other daily affairs.
Chapter V Asset Management, Use Principles and Supervision
Article 43 The sources of funds of this Association are:
(1) membership fees;
(2) Donations or subsidies from members;
(3) Other lawful income.
Article 44 The funds of this Association shall not be distributed among members, but must be used for the purposes and business scope stipulated in the articles of association, and the relevant information about the acceptance and use of funds shall be reported to the competent business units and registration authorities, and announced to the public in an appropriate way.
Article 45 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data. The fiscal year of the Association adopts the Gregorian calendar system, and the fiscal year is from 1 month 1 day to1February 3 1 day.
Article 46 The asset management of this Association must implement the financial management system stipulated by the state, and accept the supervision of the supervisory organization and the general meeting of this Association. If the source of assets belongs to social donation or funding, it must accept the supervision of the competent business unit and the registration authority, and publish relevant information to the public in an appropriate way.
Article 47 Before an association changes its legal representative, it must accept the financial audit organized by the association registration authority and the competent business unit.
Article 48 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 49 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented in accordance with the provisions of national and local labor laws and regulations.
Chapter VI Procedures for Amending the Articles of Association
Article 50 Any amendment to the articles of association of this Association shall be approved by the board of directors and submitted to the general meeting for deliberation.
Article 51 The revised Articles of Association of this Association shall come into effect within 65,438+05 days from the date of adoption by the general meeting after being approved by the competent business unit and reported to the association registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 52 If the Association completes its purpose or is dissolved due to division or merger or needs to be revoked, the board of directors shall propose a termination motion.
Article 53 The motion to terminate this Association must be passed by more than two-thirds of all members of the General Assembly and submitted to the competent business unit for examination and approval.
Article 54 Before the termination of this Association, a liquidation organization shall be established under the guidance of the competent business unit to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 55 The Association shall be terminated after the cancellation of registration by the association registration authority.
Article 56 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 57 The Articles of Association shall be deliberated and adopted by the general meeting of members, submitted to the competent business unit and the organization registration management unit for approval, promulgated and implemented by the president, and the same applies to any amendment.
Article 58 The right to interpret the Articles of Association belongs to the Council.
