l. Definitions
The meaning of the following terms as used herein and in the attachments is hereby defined.

1.2 "Supplier" means (the legal name of the Supplier), including the legal representative of the legal person, the successor of the legal person and the assignee of the legal

1.3 Contract means all parts of this document and its annexes.
1.4 "Contract Price" means the portion set forth in paragraph 4 hereof.
1.5 "Effective Date" means the date on which the Contract comes into force as set out in paragraph 18 hereof.
1.6 "Technical Data" means the Contract Equipment and its plant-related documents (including drawings, all kinds of written instructions, standards, all kinds of soft
ware) for design, manufacture, supervision, inspection, installation,
commissioning, acceptance, performance acceptance tests and technical instructions and Annex 3 of this Contract.
1.7 "Contract Plant" means the machines, installations, materials, articles, specialized work
tools, spare parts and all kinds of items to be supplied by the Supplier under the Contract, as listed and specified in Annexure 2 to this Contract.
1.8 "Supervision" means that during the manufacturing process of the Contract Equipment, the Demanding Party commissions a qualified supervisory unit to send a representative
table to supervise the quality of the key parts of the Contract Equipment supplied by the Supplying Party, and to carry out documentary and on-site witnessing. This quality
supervision does not relieve the supplier of the responsibility for the quality of the contract equipment.
1.9 "Performance Acceptance Test" means the test conducted to check the guaranteed value of performance as specified in the Annex to this Contract in accordance with the provisions of Annex 5 to this Contract
.
1.10 "Initial Acceptance" means the acceptance of each Unit of Contract Equipment by the Demanding Party when the results of the Performance Acceptance Tests indicate that the Performance Guaranteed Values set out in Annex 1 of the Contract have been achieved.
1.11 "Preliminary Acceptance" means the acceptance of each Unit of Contract Equipment by the Demanding Party.
1.11 "Final Acceptance" means the acceptance by the Demanding Party of the Contract Equipment for each Unit after the expiration of the Warranty Period.
1.12 "Day, Month, Year" means the day, month and year of the Gregorian calendar: "day" means 24 hours; "week" means 7 days.

1.14 "Technical Services" means the engineering design, equipment supervision, inspection
check, civil construction, installation, commissioning, acceptance, performance and maintenance of the equipment provided by the Supplier in connection with the Equipment under this Contract. The technical services shall include the following: engineering design, equipment supervision, inspection, civil construction, installation, commissioning, acceptance, performance acceptance test, operation and maintenance. Inspection and maintenance of the corresponding technical guidance, technical cooperation
combined, technical training and other services throughout the process.
1.15 "Site" means the site located in ____, where the Demanding Party installs the Contract Equipment.
1.16 "Spare parts" means spare parts of (name of Contract Equipment) provided under this Contract, including random spare parts and spare parts sufficient for ____ operation.
1.17 "Commissioning" means the operation of a single machine, a complete machine, or systems and domains of equipment during the commissioning and plant commissioning phases

1.18 "Machine End" means a complete set of boiler, turbine, turbine generator and ancillary equipment.
1.19 "Written Document" means any manuscript, typewritten or printed document bearing a seal and/or signature.
1.20 "Subcontractor" or ""Sub-supplier" means any part of the contractual scope of supply which is sub-contracted by the Supplier to other legal persons and their successors and permitted assigns. The supplier shall subcontract any part of the supply and credit within the scope of supply of the contract to other legal persons and their successors and permitted assignees.
1.21 "Final Delivery" means the delivery of a batch of goods such that the total value of the delivered goods of the Contract Equipment amounts to
more than 98% of the price of the Contract Equipment; and that the remaining undelivered equipment does not interfere with the installation, commissioning, and acceptance test of the Unit.
1.22 "Final Delivery" shall mean the delivery of a batch of goods such that the total value of the delivered goods of the Contract Equipment amounts to
more than 98% of the price of the Contract Equipment.
1.22 "Equipment Defects" means that the equipment under the Contract (including parts, raw materials, castings and forgings, original components, etc.) cannot meet the requirements of the performance and quality standards stipulated in the Contract due to design and manufacturing errors or negligence on the part of the Supplier.
2. Subject matter of the contract

3. Scope of supply

4. Contract price

5. Payment

5.3 Payment for contract equipment:
5.3.1 Within months from the effective date of the contract, the supplier submits a non-revocable performance bond in the amount of 10% of the price of the contract equipment and a commercial invoice in the amount of 10% of the price of the contract equipment (the original one, four copies) to be paid to the supplier within ____ months after the party required to

5.3.2 The supplier will deliver each batch of equipment (parts and components) to the delivery place within the specified time according to the order of delivery, and will

5.4 Payment of Technical Service Fee.

5.5 Payment of transportation and miscellaneous expenses
The transportation and miscellaneous expenses shall be settled by the supplier to the demander in batches at the time of delivery of the equipment, and the total amount of the settlement shall be the transportation and miscellaneous expenses stipulated in the contract. The demand side in

5.6 The time of payment shall be taken as the actual date of payment on the date of Jie Fang's bank commitment. If such date is later than the stipulated date of payment,

6. Delivery and Transportation
6.1 The delivery date and delivery sequence of the equipment under this contract shall meet the requirements of the schedule and sequence of the installation of the equipment for the construction project
Timely delivery and completeness of the parts shall be guaranteed. See Annex 4 for the delivery time of the division set.
6.2 Delivery placeThe delivery place of the contract equipment shall be the designated place of the railroad special line of the power plant of the demand side (on board)/wharf
(on board) (the specific delivery place).
6.3 Within one month after the entry into force of the contract, the Supplier shall provide the Demanding Party with a preliminary delivery plan of the name of each batch of goods, the
total weight, the total volume and the date of delivery as well as the general list of goods and the general list of packing under the contract, in accordance with the provisions of Annex 4 of the present contract.
The Supplier shall notify the Demand by telegram or facsimile of the contents of paragraph 66 ___ days before and ___ days before each shipment is scheduled for shipment.
6.4 The date of delivery of each shipment of contract equipment shall be determined by the time stamp of the arrival notice to the truck/terminal. This date shall be the basis for calculating liquidated damages for late delivery in accordance with clause 1.1.9 of this contract.
6.5 The Supplier shall apply to the Carrier Department for a plan of the means of transportation required for the shipment of the Equipment, and shall be responsible for the transportation of the Contract Equipment from the
Supplier to the site of delivery.
6.6 Within 24 hours of the preparation of each shipment and the dispatch of the vehicle/vessel for shipment, the Supplier shall notify the Demanding Party by telegram or facsimile of the following for that shipment

(3) Date of shipment of the goods ready for shipment;
(4) Name of the goods with number and price;
(5) Total gross weight of the goods;
(6) Total volume of the goods;
(7) Total number of packages;

6.8 During the warranty period and after the expiration of the warranty period to the first overhaul due to the fault or negligence of the Supplier caused by the supply of
supplied equipment (or components) damage or potential defects, and the use of the Demanding Party's inventory of spare parts in exchange for the damaged equipment
or components, the Supplier shall be responsible for the free of charge to make up for the use of the spare parts, the latest shall not be more than __ months to ship to the designated destination

6.9 The Supplier shall provide to the Demanding Party in batches the technical data necessary for the design, supervision, construction, commissioning,
testing, inspection, training, operation and maintenance of the Power Plant in accordance with the provisions of Annexes 1 and 3, and provide the technical data in accordance with the provisions of Annexes 1 and 3 for each set of the Contract Equipment. ____ sets. 6.10 Technical information is generally delivered by mail, each batch of technical information to the post office, the supply side should be within 24 hours of the
technical information of the date of delivery of the mail, postal order number, a detailed list of the technical information, the number of pieces and the weight of the contract number, etc., by fax or telegram
notice to the demand side.
6.11 The actual date of delivery of the technical data shall be the date stamped on the pick-up notice of the postal service. This date
will be used as the basis for the calculation of liquidated damages for any delay in delivery of the Technical Data in accordance with clause 11.10 of the Contract. If the Technical Data is found to be missing, lost or damaged upon inspection by the Requirement or the Requirement's representative, and for no reason other than the Requirement's cause, the Supplier shall supply the missing, lost or damaged portion of the Technical Data, free of charge, to the site within
___ days (or within ___ days in the case of an emergency) of receipt of notice from the Requirement. If

6.12 The Demanding Party may send representatives to the Supplier's factory and loading station to check the quality of packaging and supervise loading. The Supplier shall
notify the Demanding Party ___ days in advance of the return date of delivery. If the representative of the Demanding Party cannot attend the inspection in time, the Supplier shall have the right to ship the goods. The above inspection and supervision by the Demanding Party's representative shall not relieve the Supplier of its responsibility.
6.13 In the event that the Supplier is required to delay the shipment of the equipment for reasons attributable to the Demanding Party (when the equipment has already been manufactured), the Demanding Party shall bear the costs of storage
and maintenance, if necessary. Payment for the agreed lot of equipment shall be made in accordance with the provisions of this Contract (deemed to have been delivered by the Supplier).

7 Packaging and Marking
7.1 The Supplier pays for All goods shall comply with the provisions of the ___ Packaging, Storage and Transportation Indicator Marking and the provisions of the competent state authorities and

7.2 The supplier of the box and bundle of bulk components in the assembly drawing of the part number, part number should be clearly marked.
7.3 The supplier shall print
brush the following markings on the two sides of each packing box with indelible paint in Chinese characters that are easy to be seen:

Where the weight of the goods is two tons or more than two tons, the center of gravity and lifting point should be marked on the side of the box with the markings and patterns commonly used in transportation to facilitate loading/unloading and handling. In accordance with the characteristics of the goods, loading and unloading and transportation of different requirements, packing boxes
should be clearly printed on the "light", "do not invert" and "rain" and other words.
7.4 Bare goods shall be labeled with metal labels or directly on the equipment itself. Large shipments shall be
with adequate cargo supports or packing cushions.
7.5 Inside each packing box, there should be a detailed packing
sheet and certificate of conformity including the name of sub-parts, quantity, price, unit number and drawing number. Outsourcing parts of the box should have a certificate of quality of the product factory, a technical description. Another mailed packing
box list of two copies.
7.6 Annex 2 of the spare parts listed in each set of equipment should be packaged separately, and noted outside the box, a
secondary shipment.
7.7 Spare parts shall be packed separately and noted as above in paragraph 7.2, and special tools shall also be packed separately.
7.8 Loose parts of all kinds of equipment should be packed in a good way, in a box of appropriate size, and as far as possible
could be shipped as a whole to reduce transportation costs.
7.9 Gusseted boxes/ or similar packaging shall be capable of holding equipment and parts that are not likely to be stolen or damaged by other items or by rain water
.
7.10 The ports of all pipes, fittings, valves, and other equipment shall be properly guarded by protective covers or other means.
7.11 The Supplier and/or its subcontractors shall not mast any two boxes with the same box number.
7.12 For Goods requiring clean machined surfaces for precise assembly, the machined surfaces shall be protected by a good, durable coating
(no paint) to prevent corrosion and damage prior to installation.
7.13 The technical data delivered by the Supplier shall be packaged in packaging suitable for long-distance transportation, multiple handling, and protection against rain and moisture.
The following contents shall be indicated on the cover of each package of technical data:
(1) contract number;
(2) name of the supplying and receiving units;
(3) destination station/terminal;
(4) gross weight;
(5) box/piece number.
Each package of information should be accompanied by a detailed list of technical information in duplicate, indicating the serial number of the technical information, document item number,
name page number.
7.14 Where the goods are damaged or lost as a result of poor packaging or storage by the Supplier, regardless of when and where it is found,
once confirmed, the Supplier shall be responsible for timely repair, replacement or compensation in accordance with the provisions of paragraph 11 of this contract. In case of damage or loss of goods
during transportation, the Supplier shall be responsible for negotiating with the carrier department and the insurance company, and at the same time, the Supplier shall make up for the goods to the Demanding Party as soon as possible
in order to satisfy the needs of the work schedule.
7.15 The demand side shall return the special railroad packing box and packing frame used for many times to the supplier within "___
months] after the arrival of the parts (the cost shall be borne by the supplier).
8 Technical Services and Liaison
8.l The Supplier shall promptly provide the whole process
of services such as engineering design, equipment supervision and manufacture, inspection, civil engineering, installation,
commissioning, acceptance, performance acceptance test, operation and maintenance, and other corresponding technical guidance, technical cooperation and technical training, etc., related to the equipment of this contract.
8.2 The supplier needs to send representatives to the site for technical services, to guide the demand side according to the supplier's technical information for installation, branch
trial run, commissioning and startup, and is responsible for solving the contract equipment in the installation and commissioning, trial run found in the manufacturing quality and performance
relevant issues.
8.3 The Supplier shall submit to the Demanding Party two copies of the organizational plan for the execution of the service work stipulated in clauses 8.1 and 8.2 by post within ___ months after the entry into force of the Contract.
8.4 Within ____ months after the Contract has entered into force, the Parties shall determine the number, time and place of technical contact meetings.
8.5 The Supplier is obliged to invite the Demanding Party to participate in the technical design of the Supplier if necessary and to explain the technical design to the Demanding Party.
8.6 In the event of a major issue requiring immediate study and consultation between the Parties, either Party may propose a meeting, and in
general, the other Party shall agree to participate.
8.7 Minutes of meetings and other contacts shall be signed by both parties and shall be implemented by both parties
. If there is any modification involving the terms of the contract, it shall be approved by the legal representatives of both parties, and the modified version shall prevail. If there is a major
major technical programs and / or contract price modification, must be reported to the original contract approval unit to review and agree before implementation.
8.8 Installation, commissioning and operation of technical service programs proposed by the supplier and determined by the two sides in the meeting, the supplier, such as
modifications, must be notified in writing to the demand side, confirmed by the demand side before proceeding. In order to adapt to the requirements of the site conditions, the demand side
Party has the right to put forward changes or modifications, and notify the supply side in writing, the supply side should be given full consideration, and should try to meet the requirements of the demand side
Requirements.
8.9 The Supplier and the Demanding Party shall have the right to distribute all information supplied by the other party in connection with the Equipment under this Contract to parties connected with the Works
without thereby constituting any infringement of the rights of the other party, but shall not make it available to any third party not connected with the Works.
8.10 Both parties are under an obligation of confidentiality with respect to information of the Supplier and Seller stamped "Confidential".
8.11 Sub-contractors of the Supplier who require technical services for part of the Contract Equipment or work on site shall be organized by the Supplier
with the consent of the Sauer-Danfoss and at their own expense.
8.12 The Supplier (including subcontracting and outsourcing) shall be fully responsible for all supply, equipment and technical interfaces, technical
services and other issues relating to this Contract.
8.13 The Supplier shall be obliged to provide interfaces and technical cooperation for other equipment and devices connected to the equipment under this contract,
and shall not incur any costs other than the contract price as a result thereof.
8.14 The technical personnel sent by the Supplier to the site shall be those who have practical experience and are competent for the job. The technicians sent by the Supplier to the site shall be submitted to the Demanding Party for confirmation within ____ months after the date of entry into force of the Contract. The Demanding Party shall have the right to propose replacement of the field service personnel of the Supplier who do not meet the requirements, and the Supplier shall, in accordance with the needs of the site, re-select and assign the service personnel approved by the Demanding Party.
If the Demanding Party fails to respond within ___ days of the written request, it will be treated as a delay in accordance with paragraph 11.11.
8.15 The Supplier shall be responsible for any damage caused by the negligence and error of the technical guidance of the Supplier's technical service personnel on installation and commissioning, and by the Supplier's failure to send someone to provide guidance as required

9 Quality Supervision and Inspection
9.1 Supervision of Manufacturing
9.1.1 The Supplier shall provide the Demanding Party with catalogs of the design, manufacturing and inspection standards of the equipment of the Contract within ___ months from the effective date of the Cooperation Agreement. The design, manufacturing and inspection standards shall be in accordance with the provisions of Annex 1 and Annex 5.
9.1.2 The Demanding Party will commission a qualified supervision and manufacturing unit to supervise the manufacturing of the equipment. Under the guidance of the Ministry of Electric Power Industry/State Power
Company to carry out the supervision of manufacturing and pre-shipment inspection, to understand the quality of equipment assembly, inspection, testing and equipment packaging
and sign. The standards for supervision and inspection are the corresponding standards listed in Annex 1 and Annex 5. The supplier has the obligation to cooperate with the supervision of manufacture. In the supervision

9.2 Factory Inspection and On-site Unpacking Inspection
9.2.1 All contract equipment/components (including subcontracts and outsourcing) supplied by the Supplier shall be subject to rigorous inspections and tests in the course of production, and shall be subject to final assembly and testing of the part sets and/or complete machine before leaving the factory. All inspections, tests and assembly

9.2.2 After the arrival of the goods at the destination, the Supplier shall go to the site in time after receiving the notice from the Demanding Party, and together with the Demanding Party, carry out the counting and inspection of the packing, appearance and number of pieces of the goods according to the
transportation bill and packing list. If any discrepancy is found, the supplier will deal with the problem after both parties' representatives
confirm that it is the responsibility of the supplier. When the goods are delivered to the site, the demand side should open the box as soon as possible to check
check the quantity, specification and quality of the goods. The demand side shall notify the supply side of the date of opening inspection ___ days before the opening inspection, the supply side shall
dispatch inspectors to participate in the on-site inspection work, the demand side shall provide work and records for the supply side inspectors are equally effective for both parties,
and as effective evidence for the demand side to make claims to the supply side. If the demand side does not notify the supply side and open the box or each batch of equipment to arrive
site ___ months later still do not open the box, the consequences shall be borne by the demand side.
9.2.3 During the on-site inspection, if any equipment is found to be damaged, defective, short
or not in conformity with the quality standards and specifications stipulated in the contract due to reasons (including transportation) of the Supplier, it shall be recorded and signed by the representatives of the two parties, with one copy for each party, which shall serve as the basis for the Demand to propose repair and/or replacement and/or claim to the Supplier; if the Supplier commissions the repair of the damaged equipment, it will be the responsibility of the Demand.
The cost of repairing the damaged equipment shall be borne by the supplier; if the damage or shortage is found due to the demand side, the supplier shall provide or replace the corresponding parts as soon as possible after receiving the notification from the demand side,
but the cost shall be borne by the demand side.
9.2.4 If the Supplier has any objections to the above requests for repairs, replacements or claims made by the Demanding Party, the Supplier shall make such objections within ___ days after receipt of the written notice from the Demanding Party
, otherwise the above requests shall be recognized. If there is any objection, the supplier shall send a representative to the site with the representative of the demander at its own
fee within ___ months after receipt of the notification*** for re-inspection.
9.2.5 If the representatives of the two sides in the contract inspection of the inspection records can not be agreed, the two sides can be entrusted by the
authoritative third-party inspection organizations/authoritative inspection organizations of the two sides to jointly carry out the inspection. Inspection results are binding on both parties, and inspection
inspection costs are borne by the responsible party.
9.2.6 The Supplier shall, upon receipt of a claim made by the Demanding Party in accordance with the provisions of paragraphs 9.2.2 to 9.2.5 hereof, repair, replace or make up for the shortfall as soon as possible in accordance with the provisions of paragraph 9.2.7
, and the costs of manufacture, repair and freight and insurance arising therefrom shall be borne by the Responsible

9.2.7 The time for repair or replacement of equipment or parts due to the Supplier shall be such as not to affect the progress of the construction of the plant

10 Installation, Commissioning, Trial Operation and Acceptance
10.1 The Equipment under this Contract shall be installed, commissioned, operated and maintained by the Demanding Party in accordance with the technical data, inspection standards, drawings and instructions provided by the Supplier. 10.2 The acceptance of the equipment under this contract after installation shall be carried out in accordance with the requirements of Annex 1 and 5.
10.3 After the completion of the installation of the contract equipment, the supplier shall send people to participate in the commissioning of guidance, and should be as soon as possible to solve the commissioning of
