The Hong Kong Disneyland Resort is a resort consisting of theme parks, themed hotels and water sports centers, constructed, managed and operated by Hongkong International Theme Parks Limited and designed by The Walt Disney Company. BACKGROUND

Location Map of Penny's Bay Hong Kong's economy was affected by the Asian financial crisis, and showed negative growth in 1998. The Hong Kong Government has listed tourism as one of the four pillar industries. Although tourism only accounts for 7% of the GDP, it has led to the prosperous growth of related industries such as retail, catering and hospitality, and at the same time can create a large number of employment opportunities, which will help the economy to recover. Therefore, the development of tourism has become an important countermeasure for economic restructuring. At the same time, Disney is also preparing to enter the Chinese market, and plans to identify sites in Asia to build new theme parks. Rumor has it that Disney has been in contact with the governments of Singapore, Shanghai and Seoul.

Disney then began discussions with the Hong Kong government in late 1998 on the location of the theme park, and it was agreed that Penny's Bay was a suitable site for the theme park. In February 1999, the two sides entered into formal negotiations on the construction of Hong Kong Disneyland. At the initial stage, the two sides had explored the possibility of bringing in a third-party investor, but due to the magnitude and complexity of the project and the need for both sides to engage in in-depth negotiations on the phasing of the development, they ultimately agreed to the Hong Kong Government's partnership with Disney in the development of the park[2]. In the 1999-2000 Budget delivered by the then Financial Secretary of Hong Kong, Mr. Donald Tsang Yam-kuen, on March 3, 1999, it was publicly confirmed for the first time that the Hong Kong Government and Disney were negotiating on the construction of Hong Kong Disneyland. Prior to that, the Secretary for Economic Services, Mr. Stephen IP, who was in charge of the relevant negotiations, had repeatedly used the example of male-female relationships to imply that negotiations between the two sides were underway. After officially recognizing the talks, Stephen Ip described the two sides as having entered the negotiation phase of the partnership arrangement by saying that they were "talking about money but not heart".

On October 31, 1999, negotiations between the Hong Kong government and Disney ended with an agreement to form a partnership, Hongkong International Theme Parks Limited, to build the Hong Kong Disneyland Resort, including Hong Kong Disneyland, at Penny's Bay. Former Hong Kong Chief Executive Tung Chee-hwa and Disney executives formally announced the agreement on November 2, 1999 at the Government House in Hong Kong.

Hong Kong Disneyland is focusing on the implementation of the expansion plan and hopes to start the project as soon as possible, the company said promptly.

Lau Ng Wai-lan said Hong Kong's Disneyland would be expanded as soon as possible and construction would begin at the end of the year. It is expected that the new facilities can be opened gradually in two or three years. She pointed out that Hong Kong Disneyland should seize the opportunity and give the public to enjoy the new facilities as soon as possible.

Hong Kong Tourism Board (HKTB) Chairman James Tien said on the same day that the expansion of Hong Kong Disneyland will be completed in 2014, which is believed to help increase the source of visitors. Hong Kong will use diversified tourism as a recruiting tool to attract mainland visitors.

According to the expansion plan, the number of themed parks in Hong Kong Disneyland will increase from the current four to seven. The park is expected to be completed in phases within five years, and the estimated cost of the expansion is about HK$3.63 billion.

The Shanghai Disney theme park will include a "Wonderland" theme park with elements catering to the Shanghai market, and the project is expected to cost more than 24 billion yuan and is expected to be completed by 2014, according to an earlier statement from the U.S.-based Disney Co.

Partnership

The Hong Kong Disneyland Resort will be built and operated by Hong Kong International Theme Parks Limited, a partnership between the Hong Kong government and Disney, with the Hong Kong government initially owning 57 percent of the company and Disney 43 percent; the company will have a total equity of HK$5.7 billion, with the Hong Kong government injecting HK$3.25 billion and Disney HK$2.45 billion. Both parties will be able to sell their shares in the company in the future, but Disney will be required to hold a minimum stake of HK$1.9 billion, while the Government will not be subject to any minimum shareholding requirement. Conversion of shares is limited to five years after park opening, with the conversion limit increasing by 5% per annum. To avoid unduly affecting the value of other holders' shares, the maximum conversion amount in any one year can be no more than 10 percent.

The cost of building the Hong Kong Disneyland Resort was estimated at HK$14.1 billion in 1999. The Hong Kong Government provided a loan of HK$5.6 billion to the Hongkong International Theme Parks Limited (HKITP), to be amortized over 25 years with interest. The company also raised HK$2.3 billion through commercial borrowing.

The government's total investment is HK$22.45 billion, including the HK$3.25 billion capital injection mentioned above, which is equivalent to a 57 percent stake. At the same time the Hong Kong Government would receive an additional HK$4 billion in subordinate equity in lieu of land premium for Hong Kong Disneyland. As Penny's Bay was undeveloped at the time, the Hong Kong Government had to invest HK$13.6 billion in major infrastructure works, including the construction of off-road roads, two public piers, a public ****transit interchange, the MTR Disneyland Resort Line, a police post, a fire station, drainage and sewerage facilities, and the formation of a 300-hectare site.

The Hong Kong government does not provide free land or cash subsidies to Disney, and the land lease for the Hong Kong Disneyland Resort site is for 50 years, with a 50-year right of renewal. The Hongkong International Theme Parks Limited has the option to buy the reserved Phase II development site for HK$2.8 billion (1999 market value of the land) within 20 years of its opening, in other words Disney has the first right of refusal to develop the site.

Construction

Construction of the Penny's Bay Reclamation (PBR) project, which began in mid-2000, created 300 hectares of land. The works included the decommissioning of the Cheoy Lee Shipyard (CLS) located on the north-eastern shore of Penny's Bay, where decontamination was necessary as part of the shipyard site was contaminated with heavy metals, total petroleum hydrocarbons (TPH), semi-volatile organic compounds (SVOCs) and dioxins. The contaminated soil was excavated and transported to the TKW site for treatment by thermal desorption followed by concrete consolidation. The residue from the process was transported to the Tsing Yi Chemical Waste Treatment Center for incineration. This has caused dissatisfaction among some environmental groups.

In addition, the Antiquities and Monuments Office (AMO) conducted an archaeological survey at the Cheoy Lee Shipyard from August to November 2001, during which artifacts of archaeological value from different periods were found. Prior to the commencement of the decommissioning works of the Shipyard, the Administration commissioned the China-Hong Kong Archaeological Research Laboratory (CHARL) and the Landscape Archaeology Company (LACO) to carry out salvage excavations and preservation measures from 2001 onwards, and the salvage works were completed in July 2002," the spokesman said. On January 12, 2003, Disney and the Hong Kong Government joined hands to officiate the groundbreaking ceremony. On September 23, 2004, a topping-out ceremony was held for the landmark Sleeping Princess Castle in Hong Kong Disneyland. The resort facilities are being opened in phases and with the official opening of Phase 1 of the resort on September 12, 2005, the first phase of the resort development will be fully completed.
