1. The Articles of Association are formulated in accordance with the Regulations on the Administration of Registration of Social Organizations promulgated by the State Council on 1998125 October and relevant national policies.
2. The Articles of Association aims to provide a basis for the Communication Branch of China Association for the Promotion of Journalism and Culture (hereinafter referred to as "China Communication Society") to carry out academic and social activities, and regulate the group behavior of the Association.
Chapter I General Principles
Article 1 The name of this group is "Communication Branch of China News Culture Promotion Association" (hereinafter referred to as "China Communication Association").
Article 2 Nature of the Group
Based on the principle of voluntariness, this group is an academic group with journalism and communication departments, journalism and communication research institutions and news media as unit members, and teachers of journalism and communication departments, researchers of journalism and communication research institutions and journalists as individual members.
Article 3 the purpose of this group
This group abides by the Constitution, laws, regulations and national policies, abides by social morality, unites national communication scholars, and all groups and individuals interested in communication research, with the mission of promoting China to spread and solve theoretical and practical problems raised in social practice, and promoting the modernization of China and the healthy development of world communication and exchange.
Article 4 The organization accepts the business guidance, supervision and management of the competent business unit and the organization registration authority. The competent business unit of this group is the Institute of Journalism and Communication, China Academy of Social Sciences. Establish three-level branches in appropriate areas and at appropriate times, and report to the competent business unit for approval.
Article 5 The domicile of this group is in Beijing.
Chapter II Scope of Business
Article 6 The business scope of the Group
(1) academic research
1. Track and study the development trend of global communication, especially the development trend of major developed and developing countries;
2. Jointly organize national communication seminars on a regular basis with national news and communication organizations and scholars, carry out exchanges with scholars from Hong Kong, Macao and Taiwan, establish the website of the Institute, establish the journal of the Institute, and organize special reports, seminars and symposiums on the trends of world communication research;
3. Encourage and support the publication of excellent communication works and periodicals.
(B) News communication education
1. Cooperate with the national social science research plan, carry out theoretical research on communication, and formulate and guide communication.
The development direction of broadcasting teaching and scientific research;
2. Explore the cultural traditions and cultures that are most closely related to communication in the world.
The relationship between policies;
(C) News dissemination practice
1. Carry out exchange, training and cooperation projects with communication academic groups and scholars from all over the world to promote the development of China and international communication;
2. To provide theoretical and practical suggestions for government agencies, social organizations and news organizations.
Chapter III Members
Seventh "China Communication Society" implements the principle of voluntary membership. Members are divided into unit members and individual members. The members of the unit are colleges, departments, news research institutions and news units of colleges and universities nationwide; Individual members are teachers of journalism and communication departments of colleges and universities, scholars of journalism research institutions, news media professionals, and all individuals who are interested in communication research and have the necessary conditions.
Units applying to set up branches in the Institute must first meet the membership requirements of this group, and put forward an application for setting up branches, which will be discussed and approved by the Council and accepted by the competent business unit of the Institute.
Article 8 A member applying to join this group must meet the following conditions:
(1) Supporting the articles of association of this group;
(two) have the will to join this group;
(three) has a certain influence in the business (industry, discipline) of this group;
(four) engaged in communication research for a long time, there are published academic works.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) Pay the membership fee and fill in the form.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote of this group;
(two) to participate in the activities of this group;
(3) Priority in obtaining group services (such as web pages, periodicals and conferences);
(four) have the right to criticize, suggest and supervise the work of this group;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(a) Implementing the resolutions of the Panel;
(two) to safeguard the legitimate rights and interests of this group;
(three) to complete the work assigned by the group;
(four) according to the provisions of the payment of membership fees (separately);
(five) to report the situation to the group and provide relevant information;
Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card. If a member does not pay the membership fee for one year and does not participate in group activities, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Fourteenth the highest authority of this group is the general assembly (or congress), and the functions and powers of the general assembly (or congress) are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Article 15 A general meeting of members (or representatives of members) can only be held when more than two thirds of the members (or representatives of members) are present, and its resolutions can only take effect when more than half of the members (or representatives of members) present at the meeting vote.
Article 16 The general meeting of members (or representative meeting of members) is held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general assembly (or representative assembly), leading the group to carry out daily work during the intersessional period and being responsible for the general assembly (or representative assembly).
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the general assembly (or general assembly);
(two) to elect and recall the chairman (president), vice chairman (vice president) and secretary general;
(3) Preparing for convening a general meeting of members (or a general meeting of members' representatives);
(four) to report the work and financial situation to the general assembly (or representative assembly);
(five) to decide to absorb and recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of this group;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year; Under special circumstances, it can also be held by means of communication.
Article 21 The Group shall establish a standing council. The Standing Council is elected by the board of directors, and exercises the functions and powers of Article 18 (1, 3, 5, 6, 7, 8 and 9) when the board of directors is not in session, and is responsible to the board of directors (the number of standing directors shall not exceed 65,438+0/3 of the number of directors).
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.
Article 24 The president, vice-president and secretary-general of this group must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Group;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct;
Article 25 If the president, vice-president and secretary-general of this group are over the maximum working age, they can take up their posts only after being approved by the Council, reported to the competent business unit for examination and approval, and approved by the registration authority of the association.
Article 26 The term of office of the president, vice-president and secretary-general of this group is four years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members (or members' representatives) of the general assembly, reported to the competent business unit for examination, and approved by the registration and management authority of the association before taking office.
Article 27 The president of this group is the legal representative of this group, and the candidate is recommended by the competent unit. The legal representative of this group does not concurrently serve as the legal representative of other groups.
Article 28 The President of the Group shall exercise the following powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of the group;
(4) Guiding and coordinating the work of the Secretary-General and the Deputy Secretary-General.
Article 29 The Secretary-General of this group shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(five) to report to the principal the main daily work involving academic activities, personnel and funds;
(6) Handling other daily affairs.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds for this group:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Thirty-first this group collects membership fees in accordance with the relevant provisions of the state.
Article 32 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 The Group shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Group shall be equipped with accounting personnel with professional qualifications as required. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The assets management of the Group must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before a group changes or changes its legal representative, it must accept the financial audit organized by the organization registration authority and the competent business unit.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this group.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this group shall be submitted to the general meeting (or congress) for consideration after being voted by the Council.
Article 40 The revised Articles of Association of the Organization shall come into effect within 15 days after it is adopted by the general meeting of members (or congress), agreed by the competent business unit and approved by the organization registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If a group completes its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a motion for termination.
Forty-second the proposal to terminate the group must be approved by the members' meeting (or the members' congress) and reported to the competent business unit for approval.
Forty-third before the termination of this group, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Forty-fourth this group shall terminate after the cancellation of registration by the association registration authority.
Forty-fifth after the termination of the group's remaining property, under the supervision of the competent business unit and the group registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.
Chapter VIII Supplementary Provisions
Article 16 The right to interpret the Articles of Association belongs to the Council of the Organization.
Article 47 The Articles of Association shall come into force as of the date of approval by the association registration authority.
