Article 1
1. Party B fully agrees with Party A's "Ruicaotang" series products, business philosophy and business model, and is full of confidence.
2. During the performance of this contract, Party B has the right to use the trade name, brand, service mark and other related marks, labels and signboards of Ruicaotang Health Service Center.
3. When using Party A's logo and operating products, Party B shall not damage the brand image of Ruicaotang and operate other products.
Article 2: Mode of operation
1. After the establishment of the health center, Party B shall apply to the local administrative department for industry and commerce for business license, tax registration certificate and health permit. Business scope must include: food, health food, cosmetics, health equipment, health consulting services, information dissemination, brand promotion, etc.
2. Party B shall raise funds by itself, handle relevant business procedures independently, operate independently, be responsible for its own profits and losses, and bear all operating claims and debts;
3. Party B shall be equipped with corresponding infrastructure, such as testing instruments, computers, fax machines, televisions, DVDs and other office equipment;
4. When operating, Party B must clearly mark the price, implement the national unified retail price set by Party A, and provide relevant receipts to consumers.
Article 3: Ways of cooperation
1. Party B presents its ID card to Party A, and applies to Party A to join Ruicaotang Health Service Center in _ _ _ _ _ _ _ _.
2. The health center will distribute the goods at a price of 20%, and the service fee (7% of the product list price) can be paid in advance. Products sold to preferential customers can be scored at a discount of 60%, and the part sold to ordinary consumers will be returned by Party A at a rate of 20%. Discounts, service fees, kickbacks, etc. Are calculated according to the product price;
3. Party B will purchase 50,000 yuan at one time (calculated according to the remittance amount), and Party A will give a set of health testing instruments;
Four, the cumulative purchase, pay a deposit of 4000 yuan, and Party A provides a set of health testing instruments. When the accumulated purchase amount reaches 60,000 yuan (calculated according to the remittance amount), the deposit will be refunded and the instrument will be owned by the health center;

Article 4: Rights and obligations of Party A
I. Rights of Party A
1. Party A has the right to put forward constructive reference opinions on Party B's commodity variety allocation scheme according to market development and changes;
2. Check Party B's operating conditions, commodity sales, inventory and execution price at any time;
3. If Party B conflicts with consumers according to the management and joining plan of Ruicaotang Health Service Center, Party A may deduct the rebate from Party B's last three purchases;
4. If Party B violates this contract, resulting in serious damage to Party A's corporate image, Party A has the right to unilaterally terminate the contract and demand Party B to compensate for related economic and reputation losses.
Two. Obligations of Party A
1. Provide the goods to Party B in time according to the contract.
2. Provide Party B with the store decoration design scheme and the central area division scheme.
3. Provide Party B with regular or irregular professional training and related information.
Article 5: Rights and obligations of Party B.
I. Rights of Party B
1. Conduct the operation of Ruicaotang series products at the agreed place according to the contract;
2. Have the right to own all legitimate rights and interests arising from the external operation of the health center authorized by Party A;
3. Responsible for the recruitment, business management and external sales of health centers;
4. Have the right to participate in training and exchange activities organized by Party A. ..
Two. Obligations of Party B
1. Maintain the brand image of "Ruicaotang", introduce Party A's company and products realistically, and do not exaggerate false propaganda or other advertising activities that damage Party A's image.
2. Provide business report and goods inventory report to Party A on time, keep in touch with Party A on a regular basis, and send photos of the health center storefront to Party A for filing;
3. Abide by laws and regulations, standardize operations, and independently assume all civil, economic and legal responsibilities during the operation period;
4. Party B shall not damage the reputation of Party A and other Ruicaotang health service centers, attack or belittle other companies and their products, and the advertising content shall not conflict with the current national laws and regulations.
5. Party B shall not use the business relationship of Party A to sell or promote the products of other companies. Shall not induce or force sales personnel to promote products of companies other than Party A. ..
Article 6: Purchase and Exchange of Goods
First, buy
1. Purchase products according to the product order of Party A's company;
2. Remit all the payment to Party A according to the amount of the purchase order;
3. Fax the remittance receipt and order to Party A's company for confirmation after remittance (be sure to confirm the remittance account number with Party A before remittance).
Second, exchange goods.
1. In order to fully protect the rights and interests of customers and maintain the normal production and operation order, Party A formulates this exchange system in accordance with the principles of voluntariness, reciprocity and mutual benefit in the marketing process.
2. Party A wholeheartedly provides quality products for the health center. If delivery errors or product quality problems are found, the health center can contact the logistics department of Party A in time to exchange goods according to relevant regulations.
3. When the health care center handles the exchange formalities, it shall fill in the exchange application form, together with the attached list of the goods, which shall be signed by the person in charge and returned to Party A's company together with the products to be exchanged. It can be replaced after verification.
Remarks:
1. The exchanged products can be exchanged for products of the same value within 3 months from the delivery date and 50% for products of the same value within 6 months.
2. The exchanged goods must be genuine, not gifts or discounted goods, and pay 10% tally fee.
3. All promotional materials will not be returned.
4. Health centers should sell goods according to the principle of "first in first out". The minimum safety stock should be maintained, and when the stock is insufficient, it should be replenished in time.
Article 7: Liability for breach of contract
1. If Party B fails to replenish the goods for three consecutive months from the date of signing this contract, and the monthly remittance amount within half a year is less than 2,000 yuan, and there is no written explanation, Party A has the right to unilaterally terminate the contract in advance and cancel Party B's franchise ... After termination, Party A can re-establish a health service center in this area;
2. If Party B changes the address and representative of the store, it shall notify Party A in writing and obtain Party A's consent. Where Party B transfers the management right privately, it shall be deemed as a breach of contract by Party B;
3. If either party affects the execution of the contract due to irresistible inhuman factors, it shall submit a written report on the inability to perform the contract to the other party. Relevant matters can be settled by both parties through consultation.
Article 8: Term of Contract, Termination and Dispute Resolution
