I. Application for establishment
(a) submit the following materials to the Provincial Federation of Social Sciences:
1. Application report (the necessity and feasibility of establishing (1) shall be stated); (2) Purpose and business scope; (3) Activity area and activity mode; (4) Sources and channels of start-up funds and activity funds; (5) Acknowledge our articles of association and require us to be the competent business unit; (6) The name of the organizer or sponsor;
2. The registration authority approves the document to be named;
3. Proof of the property right of the residence or the right to use it for more than one year (100 square meter for research institutes and research centers, and 50 square meters for research institutes);
4. Certificate of registered capital issued by a qualified capital verification institution (valid within 6 months);
5. The basic information of the organizer and the sponsor, including a copy of the legal person certificate, name, gender, nationality, age, unit where the current personnel relationship is located, and a copy of the ID card;
6. Resumes of the proposed legal representative (no more than 65 years old) and principal responsible person (no more than 65 years old, principal responsible persons of research institutes and research centers should have full and senior titles in related disciplines, and principal responsible persons of research institutes should have senior titles in related disciplines), including name, gender, nationality, age, political outlook, unit where current personnel relations are located, professional and technical qualification certificate, authoritative and representative certification materials in the field of disciplines, and a copy of ID card.
7. Resumes, education certificates, professional and technical qualification certificates and copies of ID cards of other major employees (with college education or intermediate professional and technical qualifications). Research institutes and research centers must have more than 4 full-time researchers with senior titles in related disciplines and not less than 3 full-time managers. Scientific research institutes must have more than 2 full-time researchers with senior titles in related disciplines, and no less than 2 full-time managers;
8. Draft articles of association (formulated with reference to the Model Articles of Association of Private Social Science Research Institutions in Guangdong Province). If a private social science research institution named "Guangdong" voluntarily joins the provincial social science association after its establishment, it shall be stated in the articles of association;
9. Other documents required;
10. Letter of application for establishment signed by local municipal social science association.
(2) The organizer, the proposed principal and the legal representative shall bid in person.
(three) the Provincial Social Science Association Liaison Department shall send people to conduct on-site inspection of the proposed residence.
(four) the Provincial Federation of Social Sciences shall, within 45 working days from the date of receiving all valid documents, make a decision on approval or disapproval. If it is approved by the examination, an approval document shall be issued to the applicant; If the applicant does not agree to the examination, it shall notify the applicant in writing and explain the reasons.
(5) The organizer shall apply to the Provincial Civil Affairs Department for registration of establishment with the approval document of the Provincial Social Science Federation.
(six) the financial management of private social science research institutions shall be implemented in accordance with the provisions of the Accounting System for Non-profit Organizations of the Ministry of Finance; After engraving the seal and opening a bank account, the seal style and bank account number shall be reported to the Liaison Department of the Provincial Social Science Association for the record.
(7) After receiving the Registration Certificate of Private Non-enterprise Units (Legal Persons), the copy of the certificate, the approval document of the registration administration organ, the Application Form for Registration of Private Non-enterprise Units (Legal Persons), the Registration Form for Legal Representatives of Private Non-enterprise Units, the Record Form for Full-time (Part-time) Personnel of Private Non-enterprise Units, the Record Form for Internal Organizations of Private Non-enterprise Units and the Record Form for Private Non-enterprise Units.
Second, apply for change.
(1) The following materials shall be submitted:
1. An application for change signed by the legal representative and stamped with the official seal (the reasons and matters of change shall be specified), and the original records of the procedures performed in accordance with the Articles of Association when the change is decided shall be attached (the meeting time, place, participants and resolutions made shall be specified). If the legal representative is unable to sign the application for registration of change for some reason, the applicant shall also submit the documents of the reasons for not signing.
2. Other documents related to the change:
(1) change our association as the competent business unit: refer to the registration procedures of private social science research institutions;
(2) change of residence: proof of the property right of the new residence after the change;
(3) Change of business scope: the changed business scope;
(4) Change of legal representative: the resume of the proposed new legal representative (no more than 65 years old), including name, gender, nationality, age, political outlook, unit where the current personnel relationship belongs, professional and technical qualification certificate, copy of ID card, permanent residence and contact information, and audit report issued by accounting firm;
(5) Change of start-up capital: capital verification report issued by the changed accounting firm (valid within 6 months).
(6) When items (2), (3), (4) and (5) are changed, a letter signed by the local municipal social science association on its application for change shall be submitted at the same time.
(2) When handling the change of legal representative, the proposed new legal representative needs to come in person to handle it.
(three) the Provincial Federation of Social Sciences shall, within 20 working days from the date of receiving all valid materials, give a reply of approval or disapproval.
(IV) After the change, submit a copy of the registration certificate of the new private non-enterprise unit (legal person) and the corresponding change form to the Liaison Department of the Provincial Social Science Association and the local municipal social science association for the record.
Third, amend the articles of association.
(1) Submit the application for approval signed by the legal representative and stamped with the official seal (the reasons for revision shall be explained), and attach the original records of the procedures performed in accordance with the Articles of Association when the revision decision is made (the time and place of the meeting, the participants and the resolutions made shall be explained). If the legal representative is unable to sign the application for approval for some reason, the applicant shall also submit the documents of the reasons for not signing.
(2) The revision of the Articles of Association and the explanation of the revised Articles of Association.
(three) the Provincial Federation of Social Sciences shall, within 20 working days from the date of receiving all valid materials, give a reply of approval or disapproval.
(four) after the revision, the "approval form" of the articles of association of private non-enterprise units shall be reported to the liaison department of the provincial social science association and the local municipal social science association for the record.
Four. Cancel the bid
(a) private social science research institutions in the "Interim Measures for the registration of private non enterprise units" provisions of article seventeenth, apply for cancellation of registration, it shall submit the following documents:
1. An application for cancellation signed by the legal representative and stamped with the official seal (the reasons for cancellation shall be stated), and the original records of the procedures performed in accordance with the articles of association when deciding to cancel shall be attached (the meeting time, place, participants and resolutions made shall be stated). If the legal representative is unable to sign the application for cancellation of registration for some reason, the applicant shall also submit the documents of the reasons for not signing.
2. The liquidation report issued by the liquidation organization established according to law (the Provincial Federation of Social Sciences cooperates with the relevant competent departments to guide the establishment of the liquidation organization and complete the liquidation work, during which private social science research institutions shall not carry out activities other than liquidation).
(two) the Provincial Federation of Social Sciences shall issue an examination opinion within 20 working days from the date of receiving all valid documents. Before the cancellation of registration is completed, the Provincial Social Science Federation will continue to perform its business management duties.
(III) After the cancellation procedures are completed, the cancelled institution shall submit the approval document of the registration administration organ and the Registration Form for Cancellation of Private Non-enterprise Units to the Liaison Department of the Provincial Social Science Association and the local municipal social science association for the record.
Verb (abbreviation of verb) annual test
(a) private social science research institutions shall submit the activity report of the previous year (including compliance with laws and regulations and national policies, performance of registration procedures, activities in accordance with regulations, changes in personnel and institutions, financial management, etc.). ) and financial report (with balance sheet and balance sheet), this year's plan and fill in relevant forms. The Provincial Federation of Social Sciences shall make a preliminary examination opinion within 20 working days from the date of receiving the report. Private social science research institutions established after June 30th of the annual review are exempt from inspection.
(two) the private social science research institutions that fail to pass the annual inspection shall be ordered to make rectification within a time limit.
