Part II: Detailed procedures for registering a company in Russia.

According to the laws of the Russian Federation, foreign enterprises can set up subsidiaries, branches and representative offices with legal personality in Russia, and foreign citizens can also engage in business activities in Russia, but they must go through the following registration procedures as required:

Registered public-funded joint-stock company

If you register a wholly state-owned joint-stock company, you need to prepare the following three documents in China before coming to Russia: a copy of the business license of the dispatched unit, the credit certificate of the dispatched unit in the bank, and the power of attorney of the dispatched unit as a legal person. The above three documents need to be translated into Russian, notarized by the National Notary Office, certified by the Consular Department of the Ministry of Foreign Affairs of China, and certified by the Consular Department of the Russian Embassy in China or the Consulate General.

The documents to be processed after coming to Russia include: company contract, resolutions of the founding meeting, articles of association, written application for registration, and letter of guarantee providing the legal address of the company. The above documents shall be written in Russian and notarized by Russian notary office.

Opening a savings account in a Russian bank requires notarized and certified articles of association of domestic companies. Half of the registered capital should be deposited in the account, and the bank needs 30 days to file with the central bank. You can also invest in kind without setting up a savings account, and the goods or equipment used for investment can be exempted from import duties.

After the documents are complete, you can register (you can entrust a lawyer or a company specializing in registration to help you). The above documents should be submitted to the local registration office. After examination, if the documents comply with Russian laws, the registration bureau will issue a temporary business license within 3 days. The license is valid for 30 days from the date of issuance. During this period, in order to obtain a formal business license, the following procedures are required:

1. registered with the State Statistical Commission and obtained the corresponding company number;

2. Register with the local tax bureau where the company is located;

3. Open a company settlement account in a bank designated by the Registration Bureau and transfer the funds in the savings account. Please ask the bank to issue the certificate that the company has opened an account to the tax bureau, pension fund, medical insurance fund, employment fund, police station, immigration bureau and Ministry of Foreign Affairs;

4. Register with the pension fund;

8. Provide the company seal application and style;

9. Apply to the Immigration Bureau for employment approval with a business license;

10. Go to the police station with the employment approval to apply for a registration card and a long-term residence visa valid for one year;
