Article 4 The Chamber accepts the business guidance and supervision and management of the Federation of Industry and Commerce of Shaanxi Province and the Department of Civil Affairs of Shaanxi Province.

Article 5 The residence of the Chamber: Xi'an City, Shaanxi Province. Article 6 Business Scope of the Chamber:

Article IX Procedures for Membership:

(1) Submission of application for membership;

(2) Discussion and approval by the Executive Council;

(3) Sending of membership card (or membership card) by the authorized organization;

Article X. Members shall enjoy the following rights:

(1) Equal right to vote, to be elected, and to vote in the Chamber;

Article 11 Members shall fulfill the following obligations;

(4) To enjoy the right to edit and disseminate relevant newspapers and other information; and and the image of the Chamber of Commerce;

Article XII Members shall notify the Chamber in writing of their resignation and return their membership cards. If a member does not pay the membership fee for 1 year or does not participate in the activities of the Chamber, he/she shall be regarded as automatically withdrawing from the Chamber.

Article 13 A member shall be removed from the Chamber by a vote of the Executive Council if he/she commits a serious violation of the Bylaws. Article 14 The supreme authority of the Chamber shall be the General Meeting (or the General Assembly), which shall have the following powers:

(1) to formulate and amend the Articles of Association;

(2) to elect and dismiss the Executive Director;

(3) to consider the work report and the financial report of the Executive Council;

(4) to decide on matters of termination;

(5) to decide on matters of termination;

(6) to decide on matters of termination.

(v) Decide on other important matters.

Article 15 The general meeting (or the general meeting of members) shall be convened with the attendance of more than 2/3 of the members, and its resolutions shall take effect with the vote of more than 2/3 of the members (or the representatives of members) present. Article 17 The Standing Council is the permanent executive body of the General Assembly, leading the Chamber to carry out its daily work in the inter-sessional period, and is responsible for the General Assembly.

Article 18 The powers and functions of the Standing Council are:

(1) to implement the resolutions of the general meeting;

(2) to elect and dismiss the president, vice-president and secretary-general;

(3) to prepare for the convening of the general meeting;

(4) to report to the general meeting on its work and financial situation;

(5) to decide on the absorption or removal of members;

(6) to decide on the establishment of the general meeting;

(7) to decide on the establishment of the general meeting and the establishment of the general meeting; and Removal of members;

Article 19 The Standing Council shall be convened with the attendance of more than two-thirds of the executive members, and its resolutions shall take effect only if they are voted on and passed by more than two-thirds of the executive members present at the meeting.

Article 20 The Standing Council shall convene at least once a year; in special cases, it may also be convened in the form of electronic communication or video.

Article 21 The Chamber establishes the Standing Council. The Standing Council shall be elected by the general meeting (or the general meeting of the members), and shall exercise the powers and functions as stated in Article 18 (1), (3), (5), (6), (7), (8) and (9) between the general meetings, and shall be responsible to the general meeting of the members (the number of Standing Council members shall not be more than one-third of the number of the members).

Article 22 The president, vice-president and secretary-general of the Chamber must have the following conditions:

(1) adherence to the Party's line, guidelines and policies, and good political quality;

(2) greater influence in the Chamber's business field;

(3) the president, vice-president and secretary-general of the Chamber, the maximum age of the office of the Secretary-General shall not be more than 70 years old, and the secretary-general shall be a full-time job;

(d) good health, can adhere to normal work;

(e) not subject to criminal punishment of deprivation of political rights;

(f) have full capacity for civil behavior.

Article 23 If the president, vice-president or secretary-general of the Chamber exceeds the maximum age of office, he or she shall be allowed to hold office only after the vote of the Executive Council, the examination of the operational supervisory unit and the approval of the administrative organ responsible for the registration of associations.

Article 24 The term of office of the President, Vice President and Secretary General of the Chamber shall be four years. (The term of office of the president, vice president and secretary-general shall not exceed two terms). If the term of office needs to be extended due to special circumstances, it shall be voted by more than 2/3 of the members (or member representatives) in the general meeting (or member representative meeting), reported to the business unit in charge for examination and approved by the administrative organ of the association registration before taking office.

Article 25 The president of the Chamber shall be the legal representative of the Chamber, and the legal representative of the Chamber shall not concurrently be the legal representative of other organizations.

Article 26 The President of the Chamber shall exercise the following powers and functions:

(1) to convene and preside over the Executive Council;

(2) to check the implementation of the resolutions of the General Meeting (or the General Meeting of the Members);

(3) to sign relevant important documents on behalf of the Chamber.

Article 27 The Secretary General of the Chamber shall exercise the following powers and functions:

(1) To preside over the offices to carry out the daily work, and to organize and implement the annual work plan;

(2) To coordinate the work of the branches, representative agencies and entities;

(3) To nominate the deputy secretary general and the principal persons in charge of the offices, branches, representative agencies and entities for the decision of the Executive Council;

(4) To nominate the vice secretary general and the principal persons in charge of the offices, branches, representative agencies and entities for the decision of the Executive Council. The main person in charge, to the Executive Council for decision;

Article 29 The Chamber shall collect membership dues in accordance with relevant state regulations and the Articles of Association. Collection of dues, shall be strictly in accordance with the Ministry of Civil Affairs, Ministry of Finance "on the adjustment of social organizations dues policy and other relevant issues of the Notice" (Minfa [2003] No. 95) and the Ministry of Civil Affairs, Ministry of Finance "on further clarification of social organizations dues policy notice" (Minfa [2006] No. 123), the social organizations dues standards shall be formulated or amended by the General Assembly (Member Representative Assembly) The establishment or modification of the membership fee standard of a social organization shall be discussed by the general meeting (member representative meeting), and its resolution shall be passed by more than half of the members (or member representatives) present in the meeting by secret ballot in order to be effective. No form other than the General Meeting (Member Representative Assembly) shall be used to formulate or amend the dues standard, and the General Meeting (Member Representative Assembly) shall not use the communication voting method.

Article 30 The funds of the Chamber must be used for the business scope and the development of the cause as stipulated in the Articles of Association, and shall not be distributed among the members.

Article 31 The Chamber shall establish a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.

Article 32 The Chamber shall be equipped with accountants with professional qualifications. The accountant shall not also serve as cashier. Accounting personnel must carry out accounting, accounting supervision, accounting personnel to transfer work or leave, must be clear with the receiver to complete the handover procedures.

Article 33 The Chamber's asset management must carry out the financial management system stipulated by the state, and accept the supervision of the general meeting (or the general meeting of members) and the financial department. If the source of assets belongs to social donations and subsidies, the Chamber must accept the supervision of the auditing authorities and publicize the relevant information to the society in an appropriate manner.

Article 34 The Chamber must accept the financial audit organized by the registration authority of the association and the business supervisory unit before the change of the term of office or the replacement of the legal representative.

Article 35 The assets of the Chamber shall not be appropriated, privatized or misappropriated by any unit or individual.

Article 36 The salary, insurance and welfare of the full-time staff of the Chamber shall be implemented with reference to the relevant provisions of the state for public institutions. Article 37 Amendments to the articles of association of the Chamber shall be submitted to the general meeting of the members for consideration after being voted on and approved by the executive board.

Article 38 The amended constitution of the Chamber shall come into effect within 15 days after it is passed by the general meeting (or the general meeting of the members), examined and agreed by the business administration unit, and reported to the administrative organ for registration of associations for approval.

Article 39 The procedures for amending the articles of association are as follows:

(1) The Standing Council shall make a resolution on amending the articles of association and put forward a draft of amending the articles of association;

(2) The amendment of the articles of association shall be made by the general meeting of the association attended by more than two-thirds of the members and shall be approved by more than two-thirds of the members present at the general meeting.

(3) When the amendment of the bylaws of the Chamber involves matters requiring approval, registration or filing, it shall be reported to the competent government authorities for approval, registration or filing.

(4) If the amendment of the articles of association involves matters requiring public announcement, the announcement shall be made in accordance with the law. Article 40 If the Chamber completes its purpose or dissolves itself or needs to be canceled due to separation or merger, the Executive Council shall propose a resolution of termination.

Article 41 The resolution on the termination of the Chamber shall be passed by the general meeting of all the members (or the general meeting of the members' representatives) and reported to the business administration unit for examination and approval.

Article 42 Before the termination of the Chamber, a liquidation organization shall be set up under the guidance of the competent business unit and the relevant authorities to liquidate the debts and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.

Article 43 The Chamber shall be terminated after it has been registered by the administrative organization for cancellation of registration.

Article 44 The remaining property of the Chamber after the termination shall be utilized for the development of undertakings related to the purposes of the Chamber in accordance with the relevant provisions of the state under the supervision of the business supervisory unit and the administrative organ of association registration. Article 45 The Articles of Association was voted and passed on September 12, 2013 by the General Meeting of Members.

Article 46 The right of interpretation of these Articles of Association shall be vested in the Standing Council of the Chamber of Commerce for Gardens of Shaanxi Province.

Article 47 These Articles of Association shall come into effect on the date of approval by the administrative organ of association registration.
