Company Profile China Petroleum & Chemical Corporation (the "Company") was established on February 25, 2000 as a joint stock limited company.
In accordance with the State Council's approval of the Preliminary Plan of China Petroleum & Chemical Corporation on Overall Reorganization and Restructuring (the "Reorganization Plan"), China Petroleum & Chemical Corporation ("CPC") exclusively initiated the establishment of the Company, and invested in the Company with assets and liabilities related to its core business as at September 30, 1999. The aforesaid assets and liabilities were subject to an asset valuation jointly conducted by Zhonglian Asset Appraisal Firm, Beijing Zhongzheng Appraisal Company, Zhongzi Asset Appraisal Firm and Zhongfa International Asset Appraisal Company (the "Appraisal Firms"), which assessed the net assets to be RMB98,249,084,000. The Valuation Project was reviewed by the Ministry of Finance ("MOF") and the compliance of the Valuation Project was confirmed by the MOF in its letter No. Cai Ping Zi [2000] No. 20 entitled "Letter of Review Opinion on the Asset Appraisal Project for the Formation of China Petroleum & Chemical Corporation Limited".
At the same time, the Ministry of Finance approved the "Reply on the Management of State-owned Equity in China Petroleum & Chemical Corporation (Preparatory)" (《关于中国石油化工股份有限公司(筹)国有股权管理的批复》) in No. 34 of the Ministry of Finance, and the aforesaid net assets invested by SINOPEC were converted into 68,800,000 thousand shares of nominal value of RMB1.00 each at the rate of 70% of the capital stock of the Company.
The State Economic and Trade Commission approved the Company's application for the establishment of a joint stock limited company on February 21, 2000 by means of the document Guo Jing Mao Zi Reform [2000] No. 154, "Reply on the Consent to the Establishment of China Petroleum & Chemical Corporation".
Since September 16, 2008, the principal office address of China Petroleum & Chemical Corporation (the "Company") has been moved from No. A6, Huixin East Street, Chaoyang District, Beijing, China to No. 22, Chaoyangmen North Street, Chaoyang District, Beijing, China.
