Article 4

Shanghai Economic and Information Technology Commission is the competent unit of the Association, and Shanghai Social Organization Administration is the registration administration organ. Chapter II Tasks, Scope of Business and Principles of Activities

Article 6

Our mission is:

2. According to the new needs of major enterprises in development, submit it to the lubricant R&D and production unit for R&D and production of applicable or new varieties and new level products, plan the improvement steps and corresponding measures for the new level of lubrication management, form an accurate and complete management assessment system, and improve the lubricant market.

3. Organize and participate in the selection of lubricants in the design stage of group enterprises, properly and effectively highlight the characteristics and functions of special lubricants, provide complete supporting technical services through the establishment of technical consulting departments, and improve the use specifications. And introduce domestic lubricating oil products equivalent to foreign oil products, complete domestic substitution, and realize enterprise cost reduction and efficiency increase.

4, the organization of lubricating oil quality testing, analysis and other theoretical knowledge training, improve the ability of enterprises and institutions to identify oil quality and selection level. Set conditions for online information exchange, immediate troubleshooting and expert comments;

Coordinate disputes between members, members and non-members, and members and consumers about business activities of the industry, coordinate business matters related to industry associations and other industry associations or other organizations, participate in collective bargaining on behalf of the industry, and put forward opinions and suggestions concerning the interests of the industry.

7. The trade association may, according to the provisions of the articles of association of the trade association, take corresponding industry self-discipline measures for members who violate the articles of association or rules and regulations and damage the overall image of the industry, and may inform the relevant government departments of the relevant industry self-discipline measures. Article 8

The principles of our activities:

1. The Association conducts activities in accordance with the approved articles of association, and abides by relevant laws, regulations, rules and policies and social ethics;

2. The activities of this Association shall be honest and trustworthy, fair and just, and shall not cheat or harm the interests of the state, other units and individuals;

3. The Association shall not engage in business activities in the name of the Association. To carry out activities in the name of the business entity to which it belongs, and not to compete with enterprises in this industry;

4. In carrying out activities, the association should follow the principles of "democratic centralism" and "independent organization of the association", so as to be independent in work, independent in personnel and self-funded.

Chapter III Members

Article 9

Members of this association are unit members. To apply for membership, they must meet the following conditions:

The industry and peer enterprises and other economic organizations;

Acknowledge the articles of association;

Join this association voluntarily.

Article 10

The membership procedure is:

2. The Council of this Association authorizes the secretariat to examine and approve, and issue relevant membership certificates and materials.

Article 11

Members enjoy the following rights:

Article 12

Members shall perform the following obligations:

1. Abide by the Articles of Association, implement the resolutions of the Association, abide by the rules and regulations, and safeguard the interests of the industry;

2. Complete the work entrusted by this Association, and support and participate in various activities of this Association;

3. Pay membership dues on time as required; Complete the annual registration.

4. Actively provide the Bureau with relevant information inside and outside the enterprise, and submit relevant information and various statements of the enterprise.

Article 13

1. When members withdraw from the meeting, they should submit a written letter to the meeting and return all relevant certificates and materials issued by the Council.

2. If a member fails to pay the membership fee, register or participate in the activities of the association for two consecutive years without any reason, one of them will be deemed as automatic withdrawal.

3. For the member units that withdraw from the meeting, the Association will issue an announcement and make an announcement to the public through the media in time.

Article 14

Members who seriously violate national laws, regulations or articles of association shall be removed from the list and publicized with the consent of more than two-thirds of the participants of the Council, and published in major media.

Article 15

The highest authority of the Association is the General Assembly, and its functions and powers are:

To formulate and amend the Articles of Association;

Election and removal of directors;

Article 16

The general meeting of members shall be held at least once a year. A general meeting of members shall be convened only when more than two thirds of the members are present, and its resolutions shall take effect only when more than two thirds of the members are present and vote.

Article 17

The general meeting of members is held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the Shanghai Economic and Information Committee for review, and approved by the Shanghai Municipal Administration of Social Organizations. However, the term of office shall not be extended for more than one year.

Article 18

The association has a board of directors (including directors, vice presidents and presidents), and the board of directors is the executive body of the general assembly. Lead the association to carry out daily work when the general meeting is not in session, and be responsible for the general meeting.

Article 19

The functions and powers of the Council are:

To implement the resolutions of the general meeting of members;

To elect and recall principals and vice principals;

Convene a general meeting of members and report the work and financial status of members to the general meeting;

Deciding on the delisting of members;

Deciding to establish branches, representative offices and entity institutions;

To decide on the appointment and removal of the principal responsible persons of branches, representative offices and units;

To decide the appointment and removal of the Secretary-General according to the nomination of the President;

According to the nomination of the Secretary-General, decide the appointment and removal of the Deputy Secretary-General;

Leading the work of various institutions;

Formulate internal management system;

Decide on other major matters.

Article 20

The meeting of the board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present to vote. The Council shall meet at least once a year; Special circumstances can be held at any time.

Article 21

The president and vice president of this Association must meet the following conditions;

It has great influence in the industry.

Having the qualification to represent the President and Vice President; Ability to exercise relevant rights on behalf of enterprises.

The maximum length of service is no more than 70 years old.

He has not been deprived of political rights and has full capacity for civil conduct.

Article 22

The term of office of the president and vice president of the association is four years. Re-election shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be agreed by more than two-thirds of the members of the general assembly, reported to the higher authorities for examination and approval, and approved by the Shanghai Municipal Administration of Social Organizations before taking office.

Article 23

The chairman of this Association is the legal representative.

The legal representative of the association has no current public office in state organs and has good personal credit.

The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 24

The President of the Association shall exercise the following powers:

Convene and preside over the Council and the general meeting of members;

Check the implementation of the resolutions of the General Assembly and the Council;

Sign relevant important documents on behalf of the association.

Article 25

The secretariat of the Association is the daily office of the Council. The Secretary-General is responsible for the secretariat and presides over the daily work. For the qualifications, refer to Article 21. Secretariat staff must be full-time, and the personnel distribution system and social security system shall be implemented in accordance with the relevant provisions of this Municipality.

Article 26

The Secretary-General of the Association shall exercise the following powers:

Preside over the daily work of the Secretariat and organize the implementation of the annual work plan;

Coordinate the work of branches, representative offices and entities;

Nominate the heads of branches, representative offices and entities;

Decide on offices and representative offices, and nominate candidates for Deputy Secretary-General (to be appointed after being submitted to the Council for decision); Hiring and dismissing full-time secretariat staff;

Formulate internal management system

Coordinate the affairs related to other associations and other daily affairs of the secretariat.

Principles of asset management and use

Article 27

Sources of funds for the Association:

Membership fee;

Donation;

To undertake the funds entrusted by government departments;

Income from activities or services provided within the approved business scope;

Interest;

Other lawful income.

Article 28

1. Association funds must engage in public welfare or non-profit activities, mainly in China.

2. In addition to reasonable expenses related to the organization, the income shall be used for public welfare or non-profit undertakings approved by registration or stipulated in the articles of association; Shall not be distributed among members.

3. Property and its fruits are not used for distribution, but reasonable wages and salaries are not included;

4. According to the provisions of the registration approval or articles of association, the remaining property of the organization after cancellation is used for public welfare or non-profit purposes, or transferred to organizations with the same nature and purpose by the registration administration organ, and announced to the public;

5. Investors do not retain or enjoy any property rights in the property invested in the Organization. Investors mentioned in this paragraph refer to legal persons, natural persons and other organizations other than people's governments at all levels and their departments:

Article 29

The Association has established a strict financial management system to ensure that accounting information is legal, true, accurate and complete.

Article 30

The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 31

The asset management of the association strictly implements the financial management system stipulated by the state and accepts the supervision of the general meeting of members and the financial department. If the source of assets belongs to social donation or funding, it shall be supervised by audit institutions and relevant information shall be announced to the public in an appropriate way.

No unit or individual may occupy, privately divide or misappropriate the assets of the Association.

Article 32

Before the association changes its legal representative, it shall engage a professional audit firm to conduct an audit and provide an audit report.

Procedures for amending the Articles of Association

Article 33

Amendments to the articles of association of this association shall be submitted to the general meeting of members for voting after deliberation by the Council.

Article 34

The revised articles of association shall come into effect after being adopted by the general meeting of members and reported to the Shanghai Municipal Administration of Social Organizations for approval.

Chapter VII Termination Procedure and Disposal of Property after Cancellation

Article 35

If it is necessary to cancel due to the completion of the purpose stipulated in the articles of association, dissolution or division or merger, the board of directors shall propose a termination motion.

Article 36

The termination proposal must be voted by the general meeting of members and approved by the Shanghai Economic and Information Technology Commission.

Article 37

Before the termination of the association, a liquidation working group shall be established under the auspices of the competent business unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 38

The association was terminated after the cancellation of registration by the Shanghai Municipal Administration of Social Organizations.

Article 39

The remaining property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the Shanghai Municipal Administration of Social Organizations in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 40

The original Articles of Association was adopted by voting at the first general meeting of the second session on April 3, 2009. Article 28 has been amended,

Article 41

The right to interpret the Articles of Association belongs to the Council of the Association.

Article 42

The Articles of Association shall come into effect on the date of approval by 20 1 1 and Shanghai Municipal Administration of Social Organizations.
