Article 2 This Association is an industrial and non-profit social organization composed of non-public economic organizations engaged in the health industry and relevant persons voluntarily.
Article 3 The core concept of this Association is "virtue, dedication, enterprising and sharing".
Article 4 The purpose of this Association is:
Respond to national policies, unite colleagues in the health industry, build a bridge between government and enterprises, and strengthen international exchanges. Promote industry self-discipline and promote sustainable development of the industry.
Make progress in learning, grow stronger in unity and develop in cooperation. We will develop the health industry in the spirit of China people's diligence, virtue and fraternity, so as to benefit mankind.
Article 5 This Association shall abide by the laws and regulations of People's Republic of China (PRC), safeguard the national interests, abide by the government regulations, and promote the development of social economy and health industry.
Article 6 The Association shall accept the guidance and coordination of Putian Civil Affairs Bureau and Health Bureau, and accept the supervision, inspection and management of Putian Association Management Office.
Article 7 This Association adheres to the principle of democratic centralism, follows the articles of association approved and registered, and takes the road of democracy, self-discipline, self-development and self-entity, so as to build this Association into a social organization that benefits the country and the people.
Chapter II Scope of Business
Article 8 Business scope
1. Guide the sustainable development of member units and assist government departments to improve the management level of the industry.

Lead the provinces (autonomous regions and municipalities directly under the Central Government) Putian (China) Health Industry Branch to establish industry self-discipline mechanism, standardize industry operation behavior, coordinate other disputes, stop unfair competition, and maintain fair competition market order.

Coordinate the relationship between members, members and non-members, members and other industry operators, members and consumers, industries and other social organizations, industries and relevant functional departments in the industry, and carry out exchanges and cooperation with relevant industries at home and abroad.
6. Chapter III Members
Article 9 The members of this Association are divided into group members and individual members.
Article 10 A member applying to join this Association must meet the following requirements:
1. Support the articles of association of this association;
2. Join the Association voluntarily;
3. It has a certain popularity and influence in the industry;
4. Be keen on public welfare undertakings.
Article 11 Membership procedures.
1. Submit the application for membership to Putian (China) Health Industry Branch in the province (autonomous region or municipality directly under the Central Government) where the enterprise is located;
2. Provide the unit business license and fill in the unit profile and resume;
3 by the provinces (autonomous regions and municipalities directly under the central government) Putian (China) Health Industry Branch Council to discuss and pass, and pay the prescribed membership fees;
4. The membership card shall be issued by the board of directors of Putian (China) Health Industry Association or an institution authorized by the board of directors.
Article 12 Members shall enjoy the following rights

2. Attend the general meeting of members and participate in various activities organized by the association;
3. Give priority to the services provided by the Association;
4. Have the right to criticize, suggest and supervise the work of this Association;
5. Require this Association to safeguard legitimate rights and interests according to law;
6. Freedom of voluntary participation and withdrawal.
Article 13 Members shall perform the following obligations:
1. Implement the resolutions of this Council;
2. Safeguard the legitimate rights and interests of this Association;
3. Complete the work assigned by the Association;
4. Pay the membership fee according to the provisions of the general meeting;
5. Reflect the situation to this Council and provide constructive opinions and relevant information;
6. Take the initiative to share successful experiences.
Article 14 Members shall notify the secretariats of Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government) in writing and return their membership cards. If a member fails to pay the membership fee for half a year and fails to attend the general meeting twice in a row, it will be deemed as automatic withdrawal. The association has the right to announce the withdrawal information of its members without refunding membership fees.
Article 15 If a member seriously violates the articles of association, seriously damages the collective interests of the industry or has a criminal case, the report will be made by the president of Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government), verified by the secretariat of Putian (China) Health Industry Association and approved by the president, and the membership fee will not be refunded.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 16 The member congress is the highest authority of the Federation and exercises the following functions and powers:
1. To formulate and revise the articles of association of the General Association and provincial branches, and supervise the implementation of the articles of association;
2. Elect and recall the chairman, supervisors and members of the board of directors and the board of supervisors;
3. Listen to the work reports of the board of directors and the board of supervisors, and supervise their work;
4. To study and decide on the annual work plan and medium-and long-term strategic development plan of the Federation;
5. To study and decide the membership fee collection standard and annual membership fee budget plan of the General Association.
6. To consider other matters decided by the members' congress as stipulated by laws, regulations and articles of association.
7. The maximum number of boards is 13, and the maximum number of boards is 9.
Seventeenth members' congresses are divided into fixed meetings and temporary meetings. The fixed meeting is held once a year. In any of the following circumstances, an interim congress shall be held within two months from the date of receiving the proposal:
1. Upon the written proposal of two thirds of the board members;
2. When two-thirds of the members of the board of supervisors propose in writing;
3. When more than 1/3 of the member representatives propose in writing.
Member representatives exercise the right to vote, and each representative has one vote. Members' congresses must be attended by more than two thirds of the delegates. Resolutions made by members' congresses on major issues such as the formulation or amendment of articles of association shall be deemed as effective resolutions if they are adopted by more than two thirds of the delegates present.
Article 18 Members' congresses shall be convened by the Council and presided over by the President or members of the Council designated by the President. When the general assembly holds a meeting of members' representatives, it shall notify the representatives of the matters considered at the meeting in advance. The interim congress shall not make resolutions on matters not specified in the notice.
Members' representatives are elected from the members of Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government) or by Putian (China) Health Industry Association. The maximum number of deputies from all provinces (autonomous regions and municipalities directly under the Central Government) is as follows: 20 from Beijing, 20 from Shanghai, 20 from Guangdong, and 20 from Liaoning, Hebei, Shandong, Henan, Sichuan, Hubei, Hunan, Jiangsu, Zhejiang and Shaanxi. The above places include honorary presidents, presidents, supervisors, executive presidents, secretaries-general, executive vice presidents and vice presidents of Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government). The number of member representatives elected by the general meeting shall not exceed 50 (excluding members of the board of directors and the board of supervisors of the general meeting, honorary president, president, supervisor, executive president, secretary general, executive vice president and vice president). The replacement rate of each member representative shall not be less than 20%. The cumulative number of national member representatives of the same group (system) shall not exceed 10. The final power of interpretation and decision under this article belongs to the Council of the General Council.
Article 19 Measures for the election or recommendation of member representatives shall be formulated by the Council. According to needs, the President may recommend specially invited representatives to attend the members' congress, and the rights and obligations of specially invited representatives are consistent with those of elected representatives. The qualifications and number of specially invited representatives shall be deliberated and voted by the Council.
Member representatives are re-elected every three years, and the term of office shall not exceed four. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and reported to the community registration authority for the record, but the extension of the general election shall not exceed one year.
Twentieth member representatives shall exercise the following rights and perform the following obligations:
1. Exercise the right of deliberation, voting, proposal, proposal, voting and being elected at the general meeting of members;
2. Contact members regularly to reflect their voices and safeguard their rights and interests;
3. Other rights and obligations stipulated in the articles of association.
Article 21 The Council is the permanent decision-making body of the general meeting of members, responsible for the general meeting of members and exercising the following functions and powers:
1. Convene a member congress and report the annual work of the Council to the member congress;
2. Implement the resolutions of the members' congress;
3. Check the implementation of annual work plan;
4. To study, discuss and deploy major work items of the general assembly;
5. To elect and recall the Executive President, Secretary General, Executive Vice President, Deputy Secretary General, Vice President and Deputy Secretary General;
6. Hire honorary president and senior consultant;
7. Draw up the candidate list of presidents, supervisors and executive presidents of Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government);
8. Decide on rewards and punishments for members and member units;
9. Decide to set up working departments of member units of the General Association, overseas institutions, professional committees and executing agencies;
10. Discuss and decide on major issues such as the office of the property meeting.
Article 22 The meeting of the board of directors shall be held once every six months, which shall be convened and presided over by the president. An interim meeting of the Council may be convened upon the proposal of more than two thirds of the members of the Council. The board of directors shall listen to the opinions and suggestions of the board of supervisors on the work of the board of directors and consciously accept the supervision of the board of supervisors. When necessary, the Council may invite the executive vice president, vice president and other guests who are not members of the Council to attend the Council as nonvoting delegates.
Article 23 The General Association shall have a president 1 person, two executive presidents, and several executive presidents, executive vice presidents and vice presidents. When the Council is not in session, the President will lead the daily work of the General Assembly.
Article 24 The president, vice president, supervisor, deputy supervisor, honorary president, executive president, executive vice president, secretary general, vice president and deputy secretary general of this Association must meet the following conditions:
1. Firmly support the China * * * production party, adhere to the party's line, principles and policies, and have good political quality;
2. Enthusiastic about public welfare undertakings;
3. Not more than 65 years old;
4. Good health, can insist on normal work;
5. Not deprived of political rights;
6. Have full capacity for civil conduct.
Twenty-fifth presidential election, presidential election by the board of directors elected three candidates, elected by the members' congress.
Article 26 The president shall be nominated and elected by the members of the current Council, and shall exercise the following functions and powers:
1. Preside over the members' congress;
2. Convene and preside over the Council;
3. Supervise and inspect the implementation of the resolutions of the Council meeting;
4. Signing important documents of the Chamber of Commerce;
5. Exercise other functions and powers granted by the Council.
Article 27 The term of office of the president, vice president, supervisor, deputy supervisor, honorary president, executive president, executive vice president, secretary general, vice president and deputy secretary general is three years.
Article 28 The term of office of the president and the chairman of the board of supervisors shall not exceed two terms. The term of office of vice president, vice president, honorary president, executive president, executive vice president, executive vice president, secretary general, vice president and deputy secretary general shall not exceed two terms at the longest.
Article 29 The president, supervisor and executive president of the first general meeting of members will automatically become honorary presidents after leaving office. Honorary president and consultant, no longer serving as a member of the board of directors.
Article 30 The General Assembly shall set up an executive agency secretariat, which shall be specifically responsible for implementing the resolutions and decisions of the general assembly and the Council, and undertake the daily work of the General Assembly.
The secretariat has 1 secretaries-general and several deputy secretaries-general.
The Secretary-General shall perform the following duties:
1. Preside over the daily work of the executing agency;
2. Organize the implementation of the resolutions of the Council meeting;
3. Draw up the plan for the establishment of the executing agency departments;
4. To formulate and implement the internal rules and regulations of the executive body;
5. To propose the appointment or dismissal of the Deputy Secretary-General and the appointment or dismissal of full-time staff of the Secretariat; Complete other tasks assigned by the board of directors and the president;
Article 31 In order to strengthen the internal supervision mechanism of this Association, a board of supervisors is established. The members of the board of supervisors are elected by the members' congress. The Board of Supervisors is the supervisory body of the members' congress when it is not in session, and is responsible to the members' congress. Its main functions and powers are:
1. Report the annual work of the Board of Supervisors to the members' congress;
2. Supervise the election and recall of the Council;
3. Supervise the Council to implement the resolutions of the members' congress;
4. Supervise the implementation of the financial and accounting system of the provincial (autonomous regions and municipalities directly under the Central Government) General Association and Putian (China) Health Industry Branch;
5. Supervise the compliance of the Council and Putian (China) Health Industry Branch of all provinces (autonomous regions and municipalities directly under the Central Government) with industry self-discipline and articles of association;
6. Election and removal of deputy supervisors.
Chapter V Asset and Financial Management
Article 32 the assets of the association can only be used to promote various undertakings that are conducive to the purposes of the association. The assets of the association shall be managed in accordance with the relevant provisions of the administrative departments of the state and social organizations and the articles of association of the association, and no unit or individual may occupy, privately divide or misappropriate them.
Thirty-third sources of funds of the Association:
1. Membership dues paid by members;
2. Donation;
3. Income from activities or services provided within the approved business scope;
4. interest;
5. Management fee;
6. Social production and other lawful income.
Article 34 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Expenditure scope:
1. Office expenses (including office supplies purchase expenses, printing expenses, books and newspapers expenses, post and telecommunications expenses, telephone expenses, communication design and printing expenses of the Chamber of Commerce, etc.). );
2. Travel expenses;
3. Office space rental fees, utilities;
4 full-time staff salary subsidies and welfare funds;
5. Meeting fees (fees for other meetings held in the name of member congresses, councils, supervisors and chambers of commerce);
6. Funds for foreign affairs activities of the Chamber of Commerce;
7. Expenditure on various activities organized by the Chamber of Commerce to serve members;
8. Other normal expenses related to the Chamber of Commerce.
Article 35 The membership fee of the Association shall be subject to the annual fee system, and the board of directors shall formulate specific membership fee payment standards and methods according to the articles of association and actual conditions, which shall be implemented after being reviewed and approved by the members' congress.
Article 36 Fund management
Set up an account in the bank for the collected membership fees, and designate a special person to be responsible for the management of fund income and expenditure; The expenditure is subject to the "one pen" approval system of the president; Strictly implement the national accounting regulations, establish and improve the accounting system, and prepare the annual budget and final accounts; Regularly report the financial revenue and expenditure to the members' congress, and accept the audit and supervision of all members, the board of supervisors and relevant departments.
Article 37 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 38 The accountants provided by this Association shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 39 The wages and benefits of the staff employed by this Association shall be implemented with reference to the provisions of relevant state enterprises and institutions.
Chapter VI Alteration and Termination
Article 40 Change procedures
1. In case of major changes to the articles of association, name, legal representative and competent business department of the Association, the Council shall submit a change report and submit it to the members' congress for adoption.
2. General changes involving other registered contents of the registration certificate shall be considered and decided by the board of directors.
3. Declare to the original competent department of business and the administrative department of social organizations, and go through the formalities of change registration according to law.
Article 4 1 Termination of proceedings
1. The termination report shall be submitted by the board of directors and voted by the members' congress.
2. The Council shall propose a termination plan, determine the candidates for the aftermath, set up a liquidation organization, and do a good job in the aftermath together with relevant departments. During the liquidation period, no activities other than liquidation will be carried out.
3. Report to the original competent department of business and the competent department of social organizations, and go through the formalities for cancellation of registration according to law.
4. Under the supervision of the competent business department and the social registration authority, the remaining assets after the liquidation of this Association shall be used for the development of undertakings related to the purpose of this Association in accordance with the relevant provisions of the state.
Chapter VII Supplementary Provisions
Article 42 The right to interpret the Articles of Association belongs to the General Council.
Article 43 The Articles of Association shall come into effect as of the date when it is adopted by the general meeting of members and approved by Putian Civil Affairs Bureau.
