Article 2 Nature of this Association
The Association is a national, non-profit social group legal person, composed of people from all walks of life who are enthusiastic about promoting the development of health in ethnic areas, promoting Chinese traditional medicine and revitalizing the national pharmaceutical industry, as well as national medical and health enterprises and institutions and their related units.
Article 3 Purpose of this Association
The purpose of this association is to abide by the national constitution, laws and regulations, conscientiously implement the national health policies of the party and the state, unite and organize all social forces, strengthen exchanges and cooperation at home and abroad, promote the development of health undertakings in ethnic areas, promote Chinese medicine, revitalize the national pharmaceutical industry, serve the health of people in ethnic areas, and serve the building of a well-off society in an all-round way and a harmonious socialist society.
Article 4 This Association accepts the professional guidance, supervision and management of the Ministry of Health, the State Ethnic Affairs Commission and the Ministry of Civil Affairs.

Chapter II Scope of Business
Article 6 The business scope of this Association
(1) Abide by and publicize national health laws, regulations and national health policies, publicize national medicine culture, promote health exchanges and cooperation among ethnic groups, and strengthen national unity;
(two), investigate and study the development of health care in ethnic areas, reflect the needs of the development of health care in ethnic areas to the party and the government and make suggestions;
(three), implement the national medicine policy of the party and the state, explore, sort out, summarize and improve the national medicine, and organize the promotion. Serve the health of people of all ethnic groups;
(four), collect and sort out the national medical and health industry information at home and abroad, and promote the management and development of the industry;
(five), to carry out multi-channel and multi-form health education activities in ethnic areas, improve people's health knowledge and enhance their self-care ability;
(six) to organize health exchanges and cooperation in ethnic areas and at home and abroad;
(seven), the organization of primary health care, prevention, health care and health management personnel training, improve the professional and technical level;
(8) Editing and publishing publications and materials related to national health;
(nine), the members who have made achievements in the national fitness work and the community to evaluate and commend;
(ten), to undertake the work and tasks entrusted by the government.
Chapter III Members
Article 7 Members of this Association include: individual members and group members.
Article 8 A member applying to join this Association must meet the following requirements:
(1) Supporting the Articles of Association;
(2) Having the will to join this Association;
(3) It has a certain influence in the business (industry and discipline) of this Association;
(four), group members should be related to the national health enterprises and institutions. Anyone who is willing to participate in the activities of the association and support the work of the association can apply to become a member of the association.
Article 9 Membership procedures
(1) submitting an application for membership;
(two), discussed and approved by the Council or the Standing Council;
(3) The membership card shall be issued by an office authorized by the Council or the Standing Council.
Article 10 Members shall enjoy the following rights
(a), the association's right to vote, be elected and vote;
(two), to participate in the activities of this association;
(3) Give priority to the services of the Association;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations
(1) Abide by the articles of association and implement the resolutions of the Association;
(two), safeguard the legitimate rights and interests of this association;
(3) Actively participate in the activities organized by this Association and complete the work assigned by this Association;
(four), according to the provisions of the payment of membership fees;
(five) to reflect the situation to the Association and provide relevant information.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or does not participate in the activities of the association for one year, it will be regarded as withdrawal. If a director fails to participate in the meetings and activities of the Association for one year without reason, or a managing director fails to participate in the activities of the Association for half a year without reason or fails to attend the meetings for two consecutive times without reason, it shall be regarded as automatically withdrawing from the Council or the Standing Council.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review, and approved by the registration authority of the association, but the extension of the general election shall not exceed one year at the longest.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a), the implementation of the resolutions of the members' congress;
(two) to elect and recall the honorary president, president, vice president, secretary general and members of the Standing Council;
(three) to prepare for the convening of the members' congress;
(four), to report the work and financial situation to the members' congress;
(5) Deciding to admit or expel members;
(6) Deciding to set up offices, branches, representative offices, entities and professional committees;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight), leading the work of the association;
(nine) to formulate internal management system;
(10) To decide on other important matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 When there are a large number of directors, a standing council may be established, and the number of standing directors shall not exceed 65,438+0.3 of the number of directors. The Standing Council is elected by the Council, exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7 and 8 when the Council is not in session, and is responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a), adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The president, vice-president and secretary-general shall be no more than 70 years old, and the secretary-general shall be full-time;
(four), good health, can adhere to the normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct;
Article 25 The president, vice-president and secretary-general of the Association shall not take up their posts until they have passed the board of directors, been examined by the competent business unit and approved by the association registration authority.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years. The term of office of the president, vice-president and secretary-general shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.
Article 27 The legal representative of this Association is the President, and the President may also entrust the Vice President or the Secretary General as the legal representative. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The President of this Association shall exercise the following functions and powers:
(1) Deliberating the agenda of the Council (or the Standing Council), and convening and presiding over the Council (or the Standing Council);
(two), check the implementation of the resolutions of the members' congress and the Council (Standing Council);
(3) Signing relevant important documents on behalf of the Association;
(four) the nomination of vice president and secretary general, approved by the president's office, submitted to the Council for decision;
(5) Handling other important matters of the Association.
Article 29 The Secretary-General of the Association shall work under the leadership of the President, be responsible to the President and exercise the following powers:
(a), presided over the office daily work, organize the implementation of the annual work plan;
(two) to coordinate the work of branches, representative offices, entities and professional committees;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices, entities and professional committees, and submitting them to the Council or the Standing Council for decision after deliberation at the president's office meeting;
(four) to determine the candidates for full-time staff of offices, representative offices, entities and professional committees, and report them to the president's office for approval;
(five) to handle other daily affairs, including the rewards and punishments, assessment and daily management of the office cadres of this association.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds of this Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. Where the source of assets belongs to state grants and social donations and subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Thirty-sixth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the association registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If an association is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was discussed and adopted on May 6, 2005.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
