First, the significance of carrying out pilot hospital regulations.
Articles of association are the basic program and code of conduct for hospitals to run hospitals independently according to law, implement management and perform public welfare. Based on the articles of association, hospitals should formulate internal management systems and normative documents, provide medical and health services, establish management mechanisms, implement policies for comprehensive reform of public hospitals, continuously meet people's health needs, and enhance people's sense of medical treatment and professional honor of medical staff. Health administrative departments at all levels (including the competent department of traditional Chinese medicine, the same below) should fully understand the significance of doing this work well, incorporate it into the key work of deepening medical reform and establishing a modern hospital management system, pilot it first, make overall arrangements, and strengthen work supervision and guidance.
Second, the general requirements for the hospital to formulate the articles of association.

(2) Basic principles. ?
According to local conditions, classified guidance. Hospitals at all levels should, in accordance with the relevant laws and regulations and the provisions of this guidance, proceed from the history, current situation and local policy reality, and combine the different situations of hospital functional orientation, grade and scale, scientifically formulate articles of association and improve the hospital management system.
Adhere to the priority of social benefits. The articles of association of public hospitals should emphasize the implementation of the responsibilities of party committees and governments to public hospitals, clarify the rights and obligations of medical subjects and hospitals, persist in taking people's health as the center, put social benefits first, pay attention to health equity, meet people's diversified, differentiated and personalized health needs, ensure medical quality and safety, and further strengthen the leading role. Social forces should also adhere to the principle of giving priority to social benefits in running hospitals to ensure medical quality and safety. ? Clarify the authority of independent management of public hospitals. Reasonably define the responsibility of the government as the investor of public hospitals to organize supervision, and clarify the independent management authority of public hospitals as institutions. Give full play to the leading role of party committees in public hospitals.
(3) Pilot objectives. By the end of 20 18, 20% of secondary and tertiary public hospitals and 10% of non-profit hospitals organized by social forces will be selected by all provinces to carry out the pilot work of formulating regulations, and explore the formation of hospital regulations that will lead development, promote reform, guarantee public welfare, mobilize enthusiasm and ensure sustainability. Under the guidance of the articles of association, explore the formation of a scientific and reasonable management mechanism, improve the standardization, refinement and scientificity of hospital management, and provide assistance for establishing a modern hospital management system. By 2020, all hospitals in the country will complete the work of formulating regulations. ?
Three, the main contents of the scientific formulation of the articles of association of the hospital
Hospital articles of association should be accurate, concise, standardized, clear, specific and operable.
(1) Relevant matters that should be included in the articles of association. The sponsor, registered name, abbreviation and English translation of the hospital, and the address of the hospital;
The nature of the hospital (including ownership form and business purpose), school purpose, functional orientation, school direction and innovative development goals;
Party building work requirements, management system, organizational structure, decision-making mechanism, management system, supervision mechanism, cultural construction and group construction;
Sources of funds, asset attributes, principles of use and management system, procurement management system for drugs and high-value medical consumables, and provisions and methods for accepting donations;
Mechanisms such as selection and appointment, appointment management, assessment and withdrawal of hospital leaders;
The reasons for the separation, merger, termination and ownership change of the hospital, and the disposal methods of assets after termination;
Rights and obligations of medical subjects, hospitals and employees;
The relationship between hospitals and relevant social organizations;
Revise the initiation and deliberation procedures of the Articles of Association, the ownership of the right to interpret the Articles of Association, and other matters that need to be stipulated in the Articles of Association. The articles of association of public hospitals should clearly fulfill the specific requirements of public welfare. For hospitals with corporate governance structure, the articles of association should specify the relevant contents of corporate governance structure. ?
(2) The articles of association should specify the organizational structure of hospital internal management. Hospitals should scientifically design internal management structure and organizational framework through articles of association, and clarify the position and role of party organizations in the internal management structure of hospitals, in which public hospitals should give full play to the leading role of party committees. Standardize the procedures and contents of dean's office meetings and party committee meetings, implement the autonomy of hospital personnel management, internal distribution and operation management, and ensure the smooth implementation of hospital objectives and hospital development plans. Public hospitals should play an important role in discipline inspection departments and mass organizations. Hospitals should give full play to the role of experts and set up medical quality and safety management committees, pharmaceutical affairs management and drug treatment committees, medical device clinical use safety management committees, medical device management committees, ethics committees, etc. According to the development needs, and according to the business development, clinical trial departments are set up. Clearly define the status, functions, responsibilities and powers, composition, rules and procedures for the generation of responsible persons of hospital workers' congresses.
(3) The articles of association shall specify the rules of procedure and procedures for hospital self-management. Through the articles of association, the formulation and implementation of the overall plan for hospital development and construction were clarified. Standardize medical services, business and financial management, medical technology development, scientific research and teaching, human resource management, information construction and public welfare services to ensure medical quality and medical safety. Determine the principles and schemes of post setting, performance appraisal and income distribution. Formulate plans for the recruitment, use and management of employees, scientifically and rationally allocate the number and structural proportion of employees, and determine the conditions, standards, methods and procedures for selecting medical talents. Fourth, strictly regulate the procedures of hospital regulations.
The revision of the articles of association of public hospitals shall be carried out in accordance with the following procedures. Non-profit hospitals run by social forces shall amend their articles of association in accordance with the procedures prescribed by laws and regulations on the registration of legal persons, and for-profit hospitals run by social forces shall amend their articles of association in accordance with the Company Law and other relevant laws and regulations.
(1) Public hospitals that have been practicing.
1. Set up a drafting group. The hospital shall, in accordance with the principles of democracy and openness, set up a drafting group composed of hospital party committees, administrative leaders, heads of various professional committees of the hospital, representatives of medical personnel, relevant hospital management experts, representatives of medical disciplines and superior departments for drafting or revision.
2. Drafting, revision and repeal. When drafting or amending the articles of association, the hospital should thoroughly study and analyze the characteristics and needs of the hospital, sum up practical experience, listen to the needs and opinions of all parties extensively, form a draft or amendment of the articles of association, which will be discussed by the president's office and submitted to the party Committee for deliberation, and then passed by the workers' congress. The person in charge of drafting or amending the articles of association shall explain the drafting or amending of the articles of association and the main problems to the workers' congress. After discussion and deliberation, the draft articles of association or amendment shall be submitted for review, published in the name of the hospital with the consent of the sponsor and the superior competent department, and reported to the registration authority for the record. The registration administration organ that accepts the filing shall issue the articles of association for filing to all relevant units at the same level. ? When the hospital is divided, merged, terminated, changed in ownership, name, category, level, purpose, direction and management system, the articles of association shall be amended and abolished according to the procedures stipulated in the articles of association. ?
(2) New public hospitals. When a newly established hospital applies for practice registration, it shall submit rules and regulations including articles of association to the practice registration authority in accordance with the Regulations on the Administration of Medical Institutions and its detailed rules for implementation. The practice registration organ shall review the legality, standardization and formulation procedures of the draft articles of association, and complete the review within 45 days after receiving the application for review. ?
If the draft articles of association fail to pass the examination, the examination organ shall notify the applicant in writing of the examination results and the reasons for disapproval. In violation of laws and regulations, beyond the authority of the hospital, in violation of the relevant provisions of the administrative department of health and health and the competent department of the hospital (unit), during the audit period, it is found that there are major differences within the hospital or there are other unqualified audit situations, and the audit organ shall request the hospital to modify and re-apply for the audit within a time limit. The articles of association that have been examined and approved shall come into effect, be published in the name of the hospital, and be reported to the registration authority for the record. The registration administration organ that accepts the filing shall issue the articles of association for filing to all relevant units at the same level.
(3) Other circumstances. Public hospitals that have formulated articles of association before the start of the pilot work shall submit the articles of association to the registration administration organ for the record, and send a copy to all relevant units at the same level. Hospitals run by social forces shall submit their effective articles of association to the health administrative department for practice registration.
Five, orderly promote the pilot work of hospital regulations.
(1) Strengthen organization and coordination. Local health administrative departments at all levels and hospital authorities should attach great importance to the pilot work of formulating hospital regulations as an important part of deepening medical reform. In promoting the construction of modern hospital management system, it is necessary to guide the pilot work of formulating hospital regulations, strengthen industry supervision, actively coordinate relevant departments to improve the external governance of public hospitals, make regulations an effective way to link up the external governance and internal management of hospitals, and promote the standardization, refinement and scientificity of hospital management.
(2) Actively and steadily advance. Health administrative departments at all levels and hospital authorities should choose hospitals with high management level and mature conditions for formulating articles of association to carry out pilot projects, sum up the pilot experience in time, and find and solve the problems existing in the pilot projects. The provincial health administrative departments and departments in charge of traditional Chinese medicine should submit the pilot work report to the National Health and Wellness Commission and state administration of traditional chinese medicine before the end of 201/kloc-0.
(3) Do a good job in supervision and management. Health administrative departments at all levels should supervise the revision and implementation of hospital articles of association. Hospitals that fail to modify, implement or violate the articles of association according to the provisions of this opinion shall be ordered to make corrections within a time limit to ensure that the hospital scientifically, effectively and legally modifies and implements the articles of association. The hospital shall designate a special department to supervise the implementation of the articles of association and accept reports and complaints about violations of the articles of association.
