Articles of Association of Guangdong Association For Medical Equipment Industry

General principles

Article 1 The Association is known as the Guangdong Provincial Association for Medical Equipment Industry, the English name of the Guangdong Association For Medical Equipment Industry, the English abbreviation for GDAMEI.

Article 2 The nature of the Association is engaged in the production (operation), research and development, product testing, education and training, and product use of medical equipment in the province within the scope of units or individuals jointly formed on a voluntary basis, industry, non-profit social groups. Article 4 The Association is approved by the Guangdong Provincial Department of Civil Affairs registration of the province's social organizations legal person. The competent department is the Guangdong Provincial Food and Drug Administration. Chapter II Scope of Business

The scope of business of the Association shall be: (a) reflecting the reasonable requirements of the industry and the members of the community, safeguarding the legitimate rights and interests of the members, and striving to eliminate obstacles affecting the development of the industry;

organizing (b) To formulate and supervise the implementation of rules and conventions, regulate the self-discipline of enterprises in the industry, coordinate disputes within the industry, maintain fair competition, and promote the healthy development of the industry; (c) To organize talent, technical and vocational training related to the industry, and to promote the improvement of the overall level of the medical device industry in Guangdong Province;

(d) To create publications, carry out consultations, and enhance the communication of information within and outside the industry and the service;

(v) entrusted to participate in the organization of the industry's scientific and technological achievements and product identification and promotion and application work, to assist member enterprises to carry out legitimate marketing activities.

(f) To conduct investigation and research on the development of the industry, and to provide opinions and suggestions on economic policies and legislation related to the industry to the relevant government departments;

(g) To cooperate with the competent authorities in carrying out statistics of the industry, collecting, analyzing and releasing information of the industry, and to carry out consulting activities of the industry with the consent and authorization of the competent government departments;

(h) To participate in the formulation of industry planning with the Authorized and entrusted to participate in the formulation of industry planning, participate in the development and revision of national standards, industry standards, participate in the enterprise product-related certificate qualification review and quality certification of the preliminary work, as well as accepting other tasks authorized and entrusted by the government departments;

Chapter III Membership

The Association's members include group members and individual members engaged in medical devices and related industries, both legal persons and natural persons can apply to become a member of the Association. Legal entities are unit members and natural persons are individual members.

Application for membership in the Association must have the following conditions: (a) recognize and uphold the "Guangdong Provincial Medical Devices Industry Association Charter";

(b) voluntarily submit an application for membership;

(c) to obtain valid qualifications of the province's medical device industry, production, business enterprises, scientific research and development, product testing and education and training units or concerned about the development of the industry and the Association construction of individuals;

This is the first time that the Association has been established in Guangdong Province. Individuals;

(d) willing to accept the Association's guidance and entrusted work.

Article IX Membership Procedures

Application for membership, submission of application and relevant documents; discussed and approved by the Board of Directors; the Board of Directors authorizes the Secretariat to issue membership certificates. Article 10 Members enjoy the following rights

(1) the right to elect, to be elected and to vote for the positions within the Association;

participation in the activities of the Association; access to the Association's services and priority of relevant information; the right to criticize the work of the Association, the right to make suggestions and supervise the work of the Association; the right to defend their legitimate rights and interests from being violated; the right to withdraw from the Association. Article 11 Members must fulfill the following obligations

Obey the Articles of Association; implement the resolutions of the Association; safeguard the reputation and legitimate rights and interests of the Association; actively participate in the activities of the Association and complete the work assigned by the Association; pay the membership fee in accordance with the provisions of the Association; and reflect the situation to the Association and provide relevant information. Article 12 Members shall notify the Association in writing of their resignation and return their membership cards. If a member does not pay the membership fee for one year or does not participate in the activities of the Association without any special reasons, he/she shall be regarded as automatically withdrawing from the Association. The withdrawing member shall take the initiative to return the membership certificate, and the association may notify through the media if he/she fails to do so.

Article 13 A member shall be removed from the Association by the vote of the Board of Directors or the Executive Council for any serious violation of the Association's Articles of Association.

Chapter IV Organization and the person in charge of the generation, removal

Article 14 The supreme authority of the Association is the General Assembly of Members. The powers and functions of the general meeting are:

To formulate and revise the constitution of the association; to elect and dismiss the members of the board of directors; to consider the work report and financial report of the board of directors; to decide on the termination of the association; and to decide on other important matters of the association. Article 15 The general meeting of the members shall be convened with the attendance of more than two-thirds of the member representatives, and its resolutions shall take effect with the vote of more than half of the member representatives present.

Article 16 The general meeting of the members shall be held for 4 years each term. If the general meeting needs to be renewed in advance or extended due to special circumstances, it must be proposed by more than 1/4 of the members, and the council shall make a decision and report to the competent department for examination and approval by the association registration and management department of the Civil Affairs Bureau. The extension period shall not exceed one year at the longest.

Article 17 The Board of Directors, as the executive body of the General Meeting of Members, shall lead the Association to carry out its daily work when the General Meeting of Members is not in session, and shall be responsible to the General Meeting of Members.

Article 18 The powers and functions of the Council are:

To implement the resolutions of the general meeting of members; to elect and dismiss the president, vice-president and secretary-general, and to decide on the emergence of the current honorary president and advisers;

To prepare for the convening of the general meeting of members; to report to the general meeting of members on its work and financial status; to decide on the absorption or delisting of the members; and to decide on the establishment of the offices, branches; representative bodies and entities;
