Chapter I General Provisions
Article 1 The Association formulates these Articles of Association in accordance with the Regulations on the Registration and Administration of Social Organizations of the People's Republic of China*** and the State.
Article 2 The name of this Association is Guangdong Province Hospital Association (English translation: Guang Dong Hospital Association, abbreviated as GDHA).
Article 3 The Association is a legal person established by law, by the medical institutions at all levels and all types of medical institutions and their staff voluntarily formed by the provincial level of industrial and non-profit organizations.
Article IV The purpose of the Association: abide by national laws and regulations, the implementation of health guidelines and policies, strengthen the management of the medical industry, according to law to protect the legitimate rights and interests of members, medical institutions and their managers, play the role of industry management, guidance, self-discipline, coordination and supervision, to promote the management of the academic prosperity, improve the level of management of hospitals, and promote the development of medical and health care for the enhancement of people's health, serve the construction of socialist modernization. Article 5 The business unit in charge of the Association is the Guangdong Provincial Department of Health, according to law to accept its business guidance; the registration authority of the Association is the Guangdong Provincial Department of Civil Affairs, to accept its supervision and management. The Association accepts the guidance of the China Hospital Association.
Article VI The Association shall be located in Guangzhou City.
Chapter II Scope of business
Article 7 The scope of business of the Association
(1) publicize and abide by the state, laws and regulations, the implementation of health policies, assist the government and health administrative departments to strengthen the standardization of the medical profession, self-discipline management, and promote the modernization and development of medical institutions.
(2) to safeguard the legitimate rights and interests of members in accordance with the law, and safeguard the legitimate rights and interests of medical institutions and their managers, to create a harmonious and orderly business environment and order.
(3) To carry out research and studies related to the management of the medical industry, to understand the current situation, requirements and aspirations of hospitals, to put forward constructive views to the government, and to organize research and promotion of results around key academic subjects of hospital management, reform and development.
(4) entrusted by the health administrative department, to carry out medical ethics, medical quality and medical safety and other industry management work, and promote hospitals to improve the quality of medical care and service level, to ensure medical safety.
(E) commissioned by the relevant departments to assist in the management of hospital buildings and commonly used instruments and equipment, such as standardized construction and quality analysis and evaluation.
(F) commissioned by the health administrative department, the development of industry norms and management of technical standards, to carry out the relevant assessment, certification and supervision and management of the industry.
(VII) to carry out academic exchanges and seminars at home and abroad, and to guide the business and academic activities of the provincial hospital associations (management associations).
(viii) publicize and popularize the knowledge of hospital management, training to improve the management level of hospital management professionals; to assist the health administrative department of the hospital management personnel to carry out job training, the establishment of the assessment system, commissioned to carry out the qualification certification of hospital management personnel.
(ix) editing and publishing academic journals, books and academic materials.

(xi) Selection, recognition and rewards for outstanding hospital management cadres, excellent scientific research results, excellent academic works and thesis authors.

Chapter III Membership
Article 8 The membership of the Association is divided into unit members, individual members.
Article IX Membership conditions for each category.
(A) unit members:
1, issued by the competent health administrative department of the "medical institutions practice license" at all levels of hospitals, health centers, specialized disease control hospitals, maternal and child health care hospitals, nursing homes, first aid centers, clinical testing centers, urban and rural community health service centers (stations), private outpatient clinics (clinics).
2, the People's Liberation Army, the armed police and border defense forces in charge of the hospital and its medical institutions.
3, embrace the constitution of the Association, support the work of the Association, willing to participate in the activities of the Association, and hospital management-related scientific research, teaching units and pharmaceutical companies.
4, hospital associations in various cities and provinces in the province (Management Society) is an ex-officio unit member of the Association.
(2) Individual members:
1, leaders of hospitals at all levels and in all types of hospitals in this province and those in related positions;
2, graduated from university college or above (including specialties), engaged in the work of more than three years or five years after graduation from the secondary school;
3, members of other scientific and technological societies, associations, research institutes to meet one of the above conditions, you can apply for the Association across the Association for the Membership.
Article X: Procedures for Membership:
(1) Any unit member joining the Association shall submit an application for membership by the unit, which shall be examined and approved by the Association, and a certificate of unit membership shall be issued.
(2) All individuals to join the Association, recommended by the unit or local medicine and health mass organizations, submit an application for membership, by the prefectural and municipal hospital associations, management of the Society's Standing Council for review and approval, or by the Association's various professional committees (chapters) of the Standing Committee for review and approval, and issued a certificate of membership of the Association for the record.
Article XI members enjoy the following rights
(1) individual members of the Association enjoy the right to vote, the right to stand for election and the right to vote;
(2) the Association's members of the legitimate rights and interests of the Association to be defended;
(3) to participate in the activities organized by the Association;
(4) priority to participate in the domestic and international academic activities or training courses organized by the Association;
(5) priority in the Association of the academic activities and training courses organized by the Association;
(6) priority to participate in the activities organized by the Association. p>(5) Priority in publishing papers in journals organized by the Association and obtaining relevant materials printed by the Association;
(6) Voluntary membership and free withdrawal from the Association.
Article 12 Members shall fulfill the following obligations:
(1) To abide by the constitution of the Association and implement the resolutions of the Association;
(2) To safeguard the lawful rights and interests and reputation of the Association;
(3) To actively participate in the work of the Association and complete the work assigned by the Association;
(4) To pay the membership fee in accordance with the provisions of the regulations;
(5) To reflect the situation and provide relevant information to the Association. (e) Reflecting the situation to the Association and providing relevant information.
Article 13 A member of the Association shall notify the Association in writing of his/her resignation (sent to the office of the Provincial Association) and return his/her membership card. If a member does not pay dues or participate in the activities of the Association within one year, he/she shall be regarded as automatically withdrawing from the Association and his/her membership card shall be withdrawn.
Article 14 If a member commits a serious violation of the Articles of Association, he/she shall be removed from the Association by a vote of the Executive Council.
Chapter IV Organizational Structure and Responsible Person Generation, Removal
Article 15 The supreme authority of the Association is the General Meeting of Members. The duties of the general meeting are:
(1) to formulate and amend the bylaws;
(2) to consider and approve the work report and financial report of the board of directors; to decide on other important matters;
(3) to elect the board of directors or remove the directors, president, vice president, secretary general, supervisors.
(d) Decide on termination matters.
Article 16 The general meeting of the members shall be convened with the attendance of more than 2/3 of the representatives of the members, and the bylaws shall be adopted by more than 2/3 of the votes of all the members, and other resolutions shall be adopted by more than half of the votes of all the members in order to take effect.
Article 17 The general meeting of the members shall be held once every five years. Due to special circumstances need to advance or extend the renewal, shall be voted by the Board of Directors, reported to the Guangdong Provincial Health Department for review and approval by the Guangdong Provincial Civil Affairs Department, but the extension of the renewal of up to one year.
Article 18 The Council is the executive body of the General Assembly of the members, in the intersessional period to lead the Association to carry out the day-to-day work of the General Assembly of the members responsible for.
Article 19 The powers and functions of the Council are:
(1) to implement the resolutions of the general meeting;
(2) to elect the executive director;
(3) to prepare for the convening of the general meeting of the members of the province;
(4) to report to the general meeting of the members on the work and financial situation;
(5) to decide on the absorption or removal of members;
(6) to decide on the membership of the Council.
(vi) deciding on the establishment of offices, various professional management committees, representative bodies and entities;
(vii) deciding on the appointment and removal of the deputy secretary-general and the main heads of various bodies;
(viii) leading the work of the Society's various bodies;
(ix) formulating the system of internal management as well as the work plan and summary;
(x) deciding on Other important matters.
Article 20 The Board of Directors shall be convened with the attendance of more than two-thirds of the directors, and its resolutions shall come into effect with the vote of more than half of all the directors.
Article 21 The Council shall meet at least once a year; in special cases, it may also be convened by correspondence.
Article 22 The Association shall have a standing council. The Standing Council shall be elected by the Board of Directors and shall exercise the powers and functions of Article 19, paragraphs 1,
3, 5, 6, 7, 8 and 9 between the sessions of the Board of Directors, and shall be responsible to the Board of Directors (the number of Standing Council members shall not exceed 1/3 of the number of directors).
Article 23 The Standing Council shall be convened with the attendance of more than 2/3 of the executive members, and its resolutions shall be effective only if they are voted by more than half of all the executive members.
Article 24 The Standing Council shall convene at least once every half a year; it can also be convened in the form of correspondence in special circumstances.
Article 25 The Association shall establish supervisors, who shall be elected by the general meeting of the members. Supervisors attend the council meeting. The president, vice-president, director, secretary general shall not also serve as a supervisor.
Article 26 The Association shall have an honorary president, a number of advisers, by the Executive Council after discussion and adoption of the employment.
Article 27 The president, vice-president and secretary-general of the Association must have the following conditions:
(1) adherence to the Party's line, policies, guidelines, policies, and good political quality;
(2) have a greater impact in the Association's field of business;
(3) the president, vice-president and secretary-general of the maximum age of 70 years old, the secretary-general of the Secretary-General for a full-time position;
(d) good health, can adhere to normal work;
(e) is the Chinese people*** and citizens of the country;
(f) has the full capacity for civil behavior.
Article 28 The President, Vice President, Secretary General of the Association, if more than the maximum age of service, shall be voted by the Council, reported to the Guangdong Provincial Health Department for validation and reported to the Guangdong Provincial Department of Civil Affairs for approval and consent before serving.
Article 29 The President, Vice President, Secretary General of the Association for a term of five years, the maximum term shall not exceed two terms; due to special circumstances need to extend the term of office, shall be voted on by the General Assembly of more than 2/3 of the representatives of the Guangdong Provincial Department of Health and Guangdong Provincial Department of Civil Affairs for approval before taking office.
Article 30 The President of the Association for the Association's legal representative. The President of the Association shall be the legal representative of the Association. The legal representative of the Association shall not concurrently be the legal representative of other organizations
.
Article 31 The president of the Association shall exercise the following powers and functions:
(1) convene and preside over the Board of Directors and the Executive Council;
(2) check the implementation of the resolutions of the General Assembly, the Board of Directors and the Executive Council;
(3) sign the relevant important documents on behalf of the Association;
(4) approve the financial expenditures of the Association;
(E) to finalize the appointment and removal of personnel matters;
(F) on behalf of the Association liaison and communication matters.
Article 32 The Secretary General of the Association shall exercise the following powers and functions;
(1) to preside over the daily work of the offices and organize the implementation of the annual work plan;
(2) to coordinate the work of the professional management committees and entities;
(3) to nominate the deputy secretary general and the main office bearers, and submit the nomination to the Board of Governors or the Standing Committee for decision;
(4) to nominate the deputy secretary general and the main office bearers for decision. /p>
(4) Decide on the employment of full-time staff of offices and entities;
(5) Handle other daily affairs.
Chapter V. Principles of Asset Management and Utilization
Article 33 The sources of funding of the Association:
(1) Contributions: (2) Donations; (3) Governmental subsidies; (4) Revenues from activities or services carried out in the approved scope of business
; (5) Interests; and (6) Other lawful incomes.
Article 34 The Association shall collect membership dues in accordance with relevant state regulations.
(1) Membership dues for medical units 5,000 yuan per year for tertiary hospitals, 3,000 yuan for secondary hospitals, and 1,000 yuan for primary hospitals
hospitals and other medical institutions;
(2) Membership dues for enterprise units 5,000 yuan per year;
(3) Membership dues for individuals 20 yuan per year.
(d) The dues shall be paid in one installment during the session on an annual basis.
Article 35 The funds of the Association must be used for the scope of business and the development of the cause as stipulated in the Articles of Association, and shall not be distributed among the members.
Article 36 The Association establishes a strict financial management system to ensure that the accounting information is legal, true, accurate and
complete.
Article 37 The Association shall be equipped with accountants with professional qualifications, and the accountant shall not act as cashier at the same time. Accounting personnel
persons must carry out accounting, accounting supervision. Accounting personnel must clear the handover procedures with the receiver when they transfer their work or leave their jobs. Article 38 The Association's asset management must implement the financial management system prescribed by the state, accept the member representatives p>
The General Assembly and the financial sector supervision. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of the auditing authority and announce the relevant information to the society in an appropriate way.
Article 39 The Association must accept the financial audit organized by the Guangdong Provincial Department of Health and the Guangdong Provincial Department of Civil Affairs before the change of term or the replacement of legal representatives.
Article 40 The Association's assets, any unit or individual shall not be misappropriated, private and misappropriation.
Article 41 The salaries, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the State for institutions.
Chapter 6 Procedures for Revision of the Articles of Association
Article 42 Revisions of the Association's Articles of Association shall be submitted to the General Meeting of the Members for consideration after adoption by the Board of Directors.
Article 43 The revised constitution of the Association shall be reviewed and agreed by the Guangdong Provincial Department of Health and reported to the Guangdong Provincial Department of Civil Affairs for approval within 15 days after the adoption by the general meeting of the members and shall come into effect.
Chapter VII Termination Procedures and Disposal of Property after Termination.
Article 44 If the Association accomplishes its purpose or dissolves itself or needs to be canceled due to separation or merger, the Board of Directors or the Standing Committee of the Association shall propose a motion of termination.
Article 45 The motion of termination of the Association shall be voted by the general meeting of the members and reported to the Guangdong Provincial Department of Health for examination
and approval.
Article 46 Before the termination of the Association, a liquidation organization shall be established under the guidance of the Guangdong Provincial Department of Health and relevant units to clear debts and deal with the aftermath. During the liquidation period, no activities other than liquidation.
Article 47 The Association shall be terminated after the Guangdong Provincial Department of Civil Affairs for deregistration.
Article 48 The remaining property after the termination of the Association shall be used for the development of matters related to the purposes of the organization under the supervision of the Guangdong Provincial Department of Health and the Guangdong Provincial Department of Civil Affairs and in accordance with the relevant provisions of the State.
Chapter VIII Bylaws
Article 49 These bylaws were voted on and adopted by the third general meeting of the members on December 16, 2005, and its interpretation shall be vested in the Council of the Association; amendments to these bylaws are subject to discussion and approval by more than two-thirds of the delegates at the general meeting of the members.
Article 50 This Constitution shall come into effect on February 13, 2006, the date of approval by the Civil Affairs Department of Guangdong Province.
