Chapter II Scope of Business
Article 6 The business scope of this Association is:
(1) Assist governments at all levels to actively promote and improve students' nutritional health, care about students' nutritional status in poverty-stricken areas, and study plans and measures to improve students' nutrition.
(2) Organizing publicity, education and training on students' nutrition and health, conducting investigation and research, summing up experience and academic exchanges, editing and publishing newspapers and information materials on students' nutrition and health, and actively making suggestions and suggestions to governments at all levels and relevant departments.
(3) Providing nutrition guidance and consulting services for students; Promote the improvement of students' eating behavior and the healthy development of nutritious meals.
(4) Evaluate, recommend and develop relevant products beneficial to students' health according to law, and support the development and utilization of new resources, new technologies and new products on the premise of attaching importance to quality and efficiency.
(5) establish extensive cooperative relations with relevant departments, institutions, organizations and individuals, carry out exchange activities with relevant international organizations and individuals, and raise funds for developing students' nutrition and health through multiple channels.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members.
Article 8 A member applying to join this Association must meet the following requirements:
(1) Support the articles of association;
(2) voluntarily joining this association;
(3) Enterprises, institutions or individuals who are enthusiastic about the cause of students' nutrition and health, actively support and fund our activities, engage in students' nutrition and health, professional technology and management, and have certain influence.
Article 9 The membership procedures of this Association are as follows:
(1) Submit the application for membership, the unit member shall be signed by the person in charge of the unit and stamped with the official seal of the unit, and the individual member may be introduced by the member or recommended by the unit;
(2) approved by the leadership meeting of the secretary general or above;
(3) China Student Nutrition and Health Promotion Association will issue a membership card.
Article 10 Members of this Association shall enjoy the following rights:
(1) the right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(3) get the priority of our service;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Those who have made great achievements in the work of this Association shall enjoy the honorary titles and awards awarded by this Association.
(6) Freedom to join and quit voluntarily.
Article 11 Members of this Association shall perform the following obligations:
(1) Abide by the Articles of Association;
(2) Implement the resolutions of this Council;
(three) to safeguard the legitimate rights and interests and reputation of this association;
(four) to pay membership fees in accordance with the provisions;
(5) Report the situation to this Council and provide relevant information;
(6) Complete the work assigned by this Association.
Article 12 A member who withdraws from the meeting shall notify the Association in writing. If a member fails to pay the membership fee for one year or does not participate in the activities of the association, and fails to pay the membership fee after being prompted by the association, it will be regarded as automatic withdrawal.
Article 13 If a member seriously violates the Articles of Association, he/she shall be removed by voting at the meeting of the Secretary-General or above.
Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 14 The highest authority of this Association is the National Congress of its members, and its functions and powers are:
(1) To formulate and modify the Articles of Association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Article 15 In principle, the National Congress of Members shall be convened only when more than two thirds of the delegates are present, and its resolution shall be valid only if it is passed by more than half of the delegates present.
Article 16 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Standing Council and reported to the Ministry of Health and the Ministry of Civil Affairs for approval. But the extension shall not exceed one year.
Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly.
Article 18 The functions and powers of the Council are:
(1) Implement the resolutions of the general meeting;
(2) Electing and removing the executive director, president, vice-president and secretary-general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(5) Deciding to establish offices, branches, representative offices and entities;
(six) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(seven) to lead the work of various institutions of the Association;
(8) Formulate internal management system;
(9) Deciding on other important matters.
Article 19 A meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect after being approved by more than two thirds of the directors present at the meeting.
Article 20 The Council shall meet at least once a year; Special circumstances can also be held by means of communication, and if necessary, the Standing Council will decide to hold it in advance or postpone it.
Article 21 The Association shall have a standing council. The executive director shall be elected by the board of directors, and the number of executive directors shall not exceed one third of the number of directors. Exercise the functions and powers of Article 18 (1), (3), (5), (6), (7) and (8) when the Council is not in session, and be responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall convene a meeting at least once every six months, and it may also be convened by means of communication under special circumstances.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(1) adhere to the party's line, principles and policies and have good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum age of the president, vice-president and secretary-general is no more than 70 years old, and the secretary-general is full-time;
(4) Being in good health and able to stick to normal work;
(5) It has not been punished by deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 The president, vice-president and secretary-general of this Association shall be approved by the Council and submitted to the Ministry of Health and the Ministry of Civil Affairs for examination and approval before taking up their posts.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall be four years, and the longest term shall not exceed two terms. Due to special circumstances, it needs to be postponed, and it needs to be approved by more than 2/3 of the members' congress and reported to the Ministry of Health and the Ministry of Civil Affairs for approval before taking office.
Article 27 The president of this Association shall be the legal representative of this Association. If, due to special circumstances, the vice-president or secretary-general needs to be a legal person, he must report to the Ministry of Health and the Ministry of Civil Affairs for approval before taking office. The legal person of this Association shall not concurrently serve as the legal person of other social organizations.
Article 28 The President of this Association shall exercise the following functions and powers:
(1) Convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant important documents on behalf of this Council;
(4) Hire honorary president and consultant of the Association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(1) presides over the daily work of the office and organizes the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the heads of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for discussion and decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 The sources of funds of this Association are:
(1) membership fee;
(2) donation;
(3) government funding;
(4) Income from activities and services within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with the relevant provisions of the state.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 34 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The assets of this Association must be managed in accordance with the financial system stipulated by the state, and be supervised by the general meeting of members and the financial department. If the source of assets belongs to state appropriations or social donations or subsidies, it must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Article 36 Before changing its term of office or changing its legal representative, the association must accept the financial audit of the Ministry of Civil Affairs and the Ministry of Health.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 39 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the Ministry of Health and approved by the Ministry of Civil Affairs.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If an association completes its purpose or disbands itself or needs to be cancelled due to division or merger, the Council or the Standing Council shall put forward a termination motion, which shall be voted by the members' congress and submitted to the Ministry of Health for examination and approval.
Forty-second before the termination of this association, a liquidation organization must be established under the guidance of the Ministry of Health and the relevant competent departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 43 The Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.
Article 44 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the Ministry of Health and the Ministry of Civil Affairs and in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 45 The Articles of Association was adopted by the members' congress on May 6, 2005.
Article 46 The right to interpret the Articles of Association belongs to the Council of the Association or the Standing Council.
Article 47 The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
