Constitution of China Nutrition Society

Chapter I General Provisions Article 1 The name of this organization is: China Nutrition Society.

Article 2 This group is an academic, national and non-profit social group composed of nutrition science and technology workers, enterprises and institutions engaged in nutrition research, teaching and nutrition research institutions and nutrition-related social groups.

Article 3 the purpose of this group

Adhere to the idea that science and technology are the primary productive forces, unite and mobilize national nutrition science and technology workers, abide by the Constitution, laws, regulations and national policies, and abide by social ethics. Promote the development, popularization and popularization of nutrition science and technology, promote the growth and improvement of scientific and technological talents, and promote the combination of science and technology and economic construction; Reflect the opinions of members and nutrition science and technology workers and safeguard their legitimate rights and interests; Serve the economic and social development, improve the quality of nutrition science of the whole people, serve nutrition science and technology workers, and work hard to promote the development of nutrition science and technology in China and improve people's health.

Article 4 The organization accepts the business guidance, supervision and management of the registration authority of the Ministry of Civil Affairs of the People's Republic of China and the China Association for Science and Technology, the competent business unit.

Article 5 Address of this group: Unit 5, Building A, Fenghua Haojing, No.6 Guangnei Street, Xuanwu District, Beijing 160 1 Room (postcode 100053).

Chapter II Scope of Business

Article 6 The business scope of the Group:

(1) Holding academic exchange activities in the field of nutrition science and technology to promote the development of disciplines;

(two) in accordance with the relevant provisions, editing and publishing publications, books and audio-visual products in the field of nutrition science;

(three) to carry out continuing education and technical training in the field of nutrition science, and improve the professional level of members and the majority of nutrition science and technology workers;

(four) to carry out international academic exchanges and cooperation in the field of nutrition science;

(five) actively carry out popular science work, popularize nutrition knowledge, defend scientific dignity, improve the level of national nutrition knowledge, guide people to choose food and nutrition reasonably, and promote health;

(six) to organize members and nutrition science and technology workers to participate in the discussion of national nutrition policies, the formulation of relevant administrative regulations and the demonstration of decision-making, and to play an advisory role;

(seven) to safeguard the legitimate rights and interests of members and reflect the opinions and voices of nutrition science and technology workers; Promote the construction of scientific ethics and style of study. Focusing on national economic construction, do a good job in cooperation between thousands of factories and thousands of meetings; Actively carry out scientific and technological consulting services, technology development and technology transfer, and promote the transformation of scientific and technological achievements and the popularization of nutritional scientific and technological achievements;

(8) With the approval of the relevant government departments, carry out the work of rewarding and commending outstanding nutrition science and technology talents in the field of nutrition science and technology, project evaluation, achievement appraisal, qualification evaluation, technical standard editing, professional and technical grade certification, etc.

(nine) to organize activities aimed at improving the national nutrition and health level, and actively organize other social welfare activities in line with the purpose of this association;

(ten) vigorously strengthen the self-construction of the society, build a home for nutrition science and technology workers, and better play the role of a bridge.

Chapter III Members

Seventh members of this group include individual members and unit members. Individual members include ordinary members, student members, senior members and foreign members.

All kinds of members also need to meet the following conditions:

1. Ordinary member (with one of the following conditions)

(1) Professional and technical personnel with college education or above and engaged in nutrition-related work;

(2) Professional and technical personnel with technical secondary school education or above and engaged in nutrition-related work for more than 3 years;

(three) leading cadres who actively support the work of this association and engage in the organization and management of this industry.

2. Student members

Students majoring in nutrition in colleges and universities.

3. Senior member (with both of the following conditions)

(1) Obtain associate professor, associate researcher, deputy director nutritionist or above and corresponding technical titles;

(2) Individual members with deep academic attainments in the field of nutrition and long-term active participation in the activities of the society.

4. Foreign members

Foreign nutrition scientists who have achieved high academic achievements, are friendly to China, and have made important contributions to the academic exchange of nutrition between China and other countries (or regions) can become foreign members of this group after being introduced by the relevant professional committees or two or more members of this group, deliberated and discussed by the Council or the Standing Committee, and reported to the competent business department for the record according to relevant regulations. Foreign members can get preferential or free access to academic publications and related materials published by the group, and can be invited to participate in domestic or international academic conferences sponsored by the group. The following articles in the Articles of Association do not include foreign members.

5. Unit members

Enterprises and institutions engaged in scientific research and teaching of nutrition research, with nutrition research institutions and nutrition-related social groups.

Article 8 A member applying to join this group must meet the following conditions:

(1) Supporting the articles of association of this group;

(two) have the will to join this group;

(three) has a certain influence in the business (industry, discipline) of this group;

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(2) discussed and adopted by the Council;

(3) introduced by two members of this group or recommended by their units;

(four) recommended by the nutrition societies of all provinces, autonomous regions and municipalities directly under the central government and reported to the group for approval;

(five) the unit members can be recommended by the directors of the society, the members of the branch, or the individual members can apply to the organizing committee of the society.

(6) The membership card shall be issued by the Council or an institution authorized by the Council.

Article 10

Members enjoy the following rights:

The right to vote, to be elected and to vote of this group;

(two) to participate in the activities of this group;

(three) to obtain the priority of this group service;

(four) have the right to criticize, suggest and supervise the work of this group;

(5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations:

(a) Implementing the resolutions of the Panel;

(two) to safeguard the legitimate rights and interests of this group;

(three) to complete the work assigned by the group;

(four) to pay membership fees in accordance with the provisions;

(five) to report the situation to the group and provide relevant information.

(six) other obligations stipulated in the articles of association. Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card. If the member does not pay within 1 year,

Membership fee or not participating in the activities of this group is regarded as automatic withdrawal.

Thirteenth members who seriously violate the articles of association shall be approved by the Council or the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Fourteenth the highest authority of this group is the member congress, and the functions and powers of the member congress are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(three) to consider the work report and financial report of the Council;

(four) to formulate and revise the membership fee standards;

(5) Deciding to terminate.

(six) to decide on the working principles and tasks of this group;

(seven) to decide on other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.

Article 16 Members' congresses are held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension shall not exceed 1 year.

Article 17 The Council is the executive body of the members' congress, which leads the group to carry out its daily work during the intersessional period and is responsible to the members' congress.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(two) to elect and recall the chairman, vice chairman and secretary general; To elect and recall executive directors;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(five) to decide to absorb or recall members;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;

(eight) to lead the work of this group;

(nine) to formulate internal management system;

(ten) to raise funds for community activities;

(eleven) to decide on other major issues.

Article 19 A meeting of the board of directors can only be held when more than two thirds of the directors are present. The resolution shall take effect only if it is approved by more than two thirds of the directors present.

Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.

Article 21 The Group shall establish a standing council. The Standing Council is elected by the board of directors, and exercises the functions and powers of Article 18 (1, 3, 5, 6, 7, 8 and 9) when the board of directors is not in session, and is responsible to the board of directors (the number of standing directors shall not exceed 65,438+0/3 of the number of directors).

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once every six months; Special circumstances can also be held by means of communication.

Twenty-fourth the chairman, vice chairman and secretary general of this group must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Group;

(3) The chairman and vice-chairman shall not be over 70 years old;

(4) The highest post-holding age of the Secretary-General is no more than 62 years old, and the Secretary-General is full-time;

(5) Being healthy and able to stick to normal work;

(6) Having not been subjected to criminal punishment of deprivation of political rights;

(7) Having full capacity for civil conduct.

Twenty-fifth the chairman, vice-chairman and secretary-general of this group are over the maximum working age, and they can only take up their posts after being approved by the Council, reported to the competent business unit for examination and approval, and approved by the registration authority of the association.

Article 26 The term of office of the chairman, vice-chairman and secretary-general of this group shall be four years (the longest term shall not exceed two terms). If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.

Article 27 The chairman of the Group is the legal representative of the Group, and the legal representative signs relevant important documents on behalf of the Group. If it is necessary for the vice president or the secretary-general to be the legal representative due to special circumstances, it shall be reported to the competent business unit for examination and approval before taking up the post. The legal representative of this group does not concurrently serve as the legal representative of other groups.

Article 28 The chairman of this group shall exercise the following functions and powers:

(a) to convene and preside over the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

Article 29 The Secretary-General of this group shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Thirtieth sources of funds for this group:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Thirty-first this group collects membership fees in accordance with the relevant provisions of the state.

Article 32 The Group's funds must be used for business scope and career development as stipulated in the Articles of Association, and shall not be misappropriated.

Distribute among members.

Article 33 The Group shall establish a strict financial management system to ensure that the sources of assets are legal, true, accurate and complete.

Article 34 The Group is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The assets management of this group must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 36 Before a group changes or changes its legal representative, it must accept the financial audit organized by the organization registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this group.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association of this group must be approved by the Council and reported to the members' congress for deliberation.

Article 40 The revised Articles of Association of the Organization shall come into effect within 15 days after it is adopted by the members' congress, agreed by the competent business unit and approved by the organization's registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If a group completes its purpose or is dissolved or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a motion for termination.

Forty-second the motion to terminate the group must be voted by the members' congress and reported to the competent business unit for approval.

Forty-third before the termination of this group, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Forty-fourth this group shall terminate after the cancellation of registration by the association registration authority.

Forty-fifth after the termination of the group's remaining property, under the supervision of the competent business unit and the group registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the 7th General Assembly on October 22nd, 2008/KLOC-0.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Organization.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
